Sika AG

1. April 2015: Die Übernahmekommission hat festgestellt, dass das Opting out gemäss Art. 5 der Statuten von Sika AG auf den Erwerb der Stimmenmehrheit an Sika AG durch Compagnie de Saint-Gobain Anwendung findet und dass diese Transaktion für Compagnie de Saint-Gobain sowie allenfalls in gemeinsamer Absprache handelnde Personen keine Pflicht auslöst, ein öffentliches Kaufangebot an die Aktionäre von Sika AG zu unterbreiten. Die Übernahmekommission hat zudem eine Einsprache von William H. Gates III, Melinda French Gates (als Trustees des Bill & Melinda Gates Foundation Trust) und Cascade Investment, L.L.C. gegen die Verfügung 594/01 vom 5. März 2015 in Sachen Sika AG abgewiesen.

1er avril 2015 : La Commission des OPA a constaté que la clause d’opting out figurant à l’art. 5 des statuts de Sika AG est applicable à l’acquisition de la majorité des droits de vote de Sika AG par Compagnie de Saint-Gobain et que cette transaction n’entraîne pas d’obligation pour Compagnie de Saint-Gobain ainsi que d’éventuelles personnes agissant de concert avec elle de présenter une offre publique d’acquisition aux actionnaires de Sika AG. La Commission des OPA a en outre rejeté une opposition de William H. Gates III, Melinda French Gates (en leur qualité de Trustees du Bill & Melinda Gates Foundation Trust) et Cascade Investment, L.L.C. contre la décision 594/01 du 5 mars 2015 dans l’affaire Sika AG.

1 April 2015: The Takeover Board has determined that the opting out clause of Sika AG (art. 5 of the articles of association) is applicable to the acquisition of the majority of the voting rights of Sika AG by Compagnie de Saint-Gobain and that this transaction does not trigger an obligation to present a mandatory bid to the shareholders of Sika AG for Compagnie de Saint-Gobain or potential persons acting in concert with her. Furthermore, the Takeover Board dismissed an objection of William H. Gates III, Melinda French Gates (as Trustees of the Bill & Melinda Gates Foundation Trust) and Cascade Investment, L.L.C. against decision 594/01 of 5 March 2015 in the matter Sika AG.
