Repower verkauft GuD-Projekt in Leverkusen an STEAG
Die STEAG GmbH in Essen kauft von Repower das Projekt zur Realisierung des Gas- und Dampfkraftwerks Leverkusen. Dort soll ein hocheffizientes Gas- und Dampfkraftwerk entstehen, das neben Strom auch Prozessdampf für den Chempark in Leverkusen erzeugen soll. Repower konnte damit die Suche nach einem Partner für das Projekt abschliessen.
Repower hat in den letzten Jahren erfolgreich das Projekt für ein Gas- Und Dampfkraftwerk (GuD) im Chempark in Leverkusen entwickelt. Inzwischen ist die Detailplanung weit fortgeschritten, wesentliche Bewilligungen liegen vor, und GE/Iberdrola ist als Lieferant einer schlüsselfertigen Anlage vorgesehen. Parallel dazu wurden Gespräche mit möglichen Partnern geführt.
Auf der anderen Seite hat sich in den letzten Monaten die Ausgangslage für Repower stark verändert. Die Aufhebung des €/CHF-Mindestkurses durch die Schweizerische Nationalbank, die anhaltend tiefen Energiepreise und die offenen Fragen um die Fördermechanismen schränken die Investitionsfähigkeit von Repower ein und verunmöglichen ihr derzeit einen positiven Investitionsentscheid. Repower geht davon aus, dass sich an diesen Voraussetzungen mittelfristig nichts ändert. Repower will die zur Verfügung stehenden Mittel deshalb auf die Instandhaltung und Erneuerung bestehender Wasserkraftwerke und auf wenige strategische Vorhaben konzentrieren.
Felix Vontobel, Leiter Produktion/Netz und Stv. CEO von Repower erklärt: «In Anbetracht der allgemein anerkannten hohen Qualität des Projekts in Leverkusen und des hervorragenden Standorts sieht Repower sehr gute Realisierungschancen für das GuD Leverkusen und möchte einer erfolgreichen Umsetzung des Vorhabens nicht im Wege stehen.»
Repower hat sich deshalb entschlossen, das Projekt nicht selber bzw. zusammen mit einem Partner zu realisieren, sondern dieses zu verkaufen. Käuferin ist die STEAG GmbH in Essen. Über den Kaufpreis haben die Partner Stillschweigen vereinbart.
Joachim Rumstadt, Vorsitzender der Geschäftsführung der STEAG GmbH, zur Transaktion: «Ein strategisches Ziel der STEAG ist die Diversifizierung unserer Erzeugungsportfolios in Deutschland. Mit dem Erwerb dieser Option erhalten wir die Chance, ein wirtschaftliches Grosskraftwerksprojekt mit regionalem und industriellem Bezug in NRW zu realisieren. Einen Baubeschluss werden wir allerdings erst bei verlässlichen energiepolitischen Rahmenbedingungen treffen.»

Repower cede a STEAG il progetto di centrale a ciclo combinato a Leverkusen
La STEAG GmbH con sede a Essen rileva da Repower il progetto per la realizzazione di una centrale a ciclo combinato gas-vapore a Leverkusen. L’impianto avrà un’efficienza molto elevata e produrrà gas e vapore per il Chempark. Si conclude così per Repower la ricerca di un partner per il progetto.
Negli scorsi anni Repower ha sviluppato con successo il progetto per una centrale a ciclo combinato gas-vapore da realizzare nel Chempark di Leverkusen. Nel frattempo la progettazione dettagliata è in fase avanzata, le autorizzazioni necessarie sono state concesse ed è già stato scelto il consorzio GE/Iberdrola quale fornitore chiavi in mano. Parallelamente a questi lavori sono stati condotti negoziati con i potenziali partner.
Negli ultimi mesi la posizione di Repower è mutata fortemente. L’abolizione del cambio minimo EUR/CHF da parte della Banca nazionale svizzera, i prezzi dell’energia stagnanti a livelli bassi e le questioni ancora irrisolte relative ai meccanismi d’incentivazione riducono lo spazio di manovra per gli investimenti di Repower, che attualmente non è in grado di poter dare luce verde a questa operazione. Repower non prevede un miglioramento della situazione a medio termine. Per questo l’azienda intende concentrare le proprie risorse sulla manutenzione e sul rinnovo degli impianti idroelettrici esistenti e su pochi progetti strategici.
Felix Vontobel, Responsabile Produzione/Reti e vicedirettore del Gruppo spiega: «In virtù dell’elevata qualità, riconosciuta da più parti al progetto di Leverkusen, e dell’eccellente collocazione geografica, Repower calcola che le possibilità di realizzazione della centrale a ciclo combinato di Leverkusen siano ottime e non intende quindi ostacolare lo sviluppo del progetto».
Repower ha quindi deciso di non realizzare l’opera autonomamente o con un partner, ma ha optato per la cessione. L’acquirente è la STEAG GmbH di Essen. Entrambe le parti hanno convenuto di non rivelare il prezzo dell’operazione.
Joachim Rumstadt, presidente della direzione di STEAG GmbH, si esprime così sulla transazione: «un obiettivo strategico di STEAG è la diversificazione del portafoglio produzione in Germania. Con l’acquisto di questa opzione abbiamo buone possibilità di realizzare una grande centrale termoelettrica, con un legame regionale e industriale alla Renania Settentrionale-Vestfalia. Comunque potremo prendere una decisione sulla costruzione solo una volta che avremo condizioni quadro affidabili in materia di politica energetica».

Repower sells Leverkusen CCGT project to STEAG
STEAG GmbH in Essen is acquiring Repower’s project to construct a combined-cycle gas turbine (CCGT) plant in Leverkusen. The plan is to build a highly efficient CCGT installation that in addition to generating electricity will produce steam for the Chempark chemical industry site in Leverkusen. This marks the culmination of Repower’s search for a partner for the project.
In recent years Repower has been successfully developing a project to build a combined-cycle gas turbine (CCGT) plant on the Leverkusen Chempark site. Detailed planning is at an advanced stage, key licences have been obtained, and GE/Iberdrola has been chosen to provide the plant on a turnkey basis. Parallel to this there have been discussions with potential partners.
At the same time, however, the operating environment has changed radically for Repower in recent months. The Swiss National Bank’s decision to remove the floor on the EUR/CHF exchange rate, low energy prices, and unanswered questions regarding incentives and subsidies are limiting Repower’s scope for investment and making it impossible for the company to give the construction of the Leverkusen plant the green light at this time − a situation Repower does not expect to change in the medium term. It has therefore decided to use the resources at its disposal for the maintenance and refurbishment of existing hydropower plants and a small number of strategic projects.
Felix Vontobel, Head of Generation/Grid and Deputy CEO of Repower, explains: “Given the widely acknowledged quality of the Leverkusen project and the outstanding location, Repower believes the CCGT plant has a very good chance of completion, and does not wish to hinder the successful execution of the project.”
For this reason, rather than opting to build the plant itself or to do so in collaboration with a partner, Repower has decided to sell the project. The buyer is STEAG GmbH in Essen. The parties have agreed not to disclose the price of the acquisition.
Joachim Rumstadt, Chairman of the Board of Managment of STEAG GmbH, has the following to say about the deal: “One of STEAG’s strategic objectives is to diversify our generation portfolio in Germany. By acquiring this option we’ve created the opportunity to build a large-scale, economically viable power plant with relevance for NRW and industry in the region. However, we will only make the final decision on construction once a reliable energy policy framework is in place.”
