Juni 2015: Die Übernahmekommission hat festgestellt, dass Cosmo Pharmaceuticals S.A. den Aktionären von Cassiopea S.p.A. kein öffentliches Übernahmeangebot unterbreiten muss, falls, im Nachgang zum Börsengang von Cassiopea S.p.A., die Beteiligung von Cosmo Pharmaceuticals S.A. unter die Schwelle von 50 % der Stimmrechte verringert wird (aber über jener von 33 1/3 % der Stimmrechte bleibt) und hiernach wieder die Schwelle von 50 % der Stimmrechte überschreitet.22 juin 2015 : La Commission des OPA a constaté qu’aucune offre obligatoire ne devrait être présentée par Cosmo Pharmaceuticals S.A. aux actionnaires de Cassiopea S.p.A. si, ensuite de l’entrée en bourse de Cassiopea S.p.A., la participation de Cosmo Pharmaceuticals S.A. diminue en dessous de 50 % des droits de vote (mais demeure au dessus de 33 1/3 % des droits de vote) puis franchit à nouveau la limite de 50 % des droits de vote de Cassiopea S.p.A. 22 June 2015 : The Swiss Takeover Board has determined that no mandatory offer would have to be made by Cosmo Pharmaceuticals S.A. to the shareholders of Cassiopea S.p.A. if, after the initial public offering of Cassiopea S.p.A., the participation of Cosmo Pharmaceuticals S.A. passes under the threshold of 50 % of the voting rights (but stays over the threshold of 33 1/3 of the voting rights) and crosses again the threshold of 50 % of the voting rights of Cassiopea S.p.A.
