Siegfried: Konsultationsverfahren in Frankreich erfolgreich abgeschlossen - Übernahme auf Kurs Dienstag, 23. Juni 2015 - 06:39
Wie bereits anfangs Mai mitgeteilt, hat die Siegfried Gruppe (SIX: SFZN) mit dem deutschen Unternehmen BASF eine Übereinkunft zur Übernahme wesentlicher Bereiche des Auftrags- und Zuliefergeschäfts mit pharmazeutischen Wirkstoffen und der damit verbundenen chemisch-pharmazeutischen Produktionsstätten in Deutschland, Frankreich und der Schweiz erzielt. Das gesetzlich vorgeschriebene Konsultationsverfahren in Frankreich konnte inzwischen abgeschlossen werden.
Siegfried CEO Dr. Rudolf Hanko: „Der Übernahmeprozess kann dank dem zügigen Verlauf des Konsultationsverfahrens plangemäss vorwärts gehen. Wir erwarten den Abschluss der Übernahme zu Beginn des vierten Quartals.“
Markanter Wachstumsschritt
Nach der Übernahme der drei BASF-Standorte wird Siegfried auf Jahresbasis einen Umsatz von mehr als 600 Millionen Franken erzielen, bei einem EBITDA von über 100 Millionen Franken. Insgesamt wird die Siegfried Gruppe über 2‘200 Mitarbeitende an 9 Standorten auf drei Kontinenten beschäftigen. Gleichzeitig bildet die Transaktion eine attraktive Basis für ein anhaltendes profitables Wachstum. Der Kaufpreis beträgt auf schuldenfreier Basis rund 270 Millionen Euro.
Finanzierung gesichert
Die Finanzierung der Transaktion ist durch ein Syndikat von Schweizer Banken sichergestellt. Die deutsche RAG-Stiftung Beteiligungsgesellschaft mbH aus Essen/Deutschland beteiligt sich zudem an einem Hybrid Bond der Siegfried Holding AG, welcher zur teilweisen Finanzierung der Übernahme verwendet wird. Der Bond berechtigt die RAG-Stiftung, den Betrag innerhalb von 5 Jahren in Aktien der Siegfried Holding AG umzuwandeln, was eine Beteiligung in der Grössenordnung von bis zu rund 7 Prozent an Siegfried bedeuten würde. Die Aktien werden voraussichtlich aus Beständen stammen, welche die Siegfried Holding AG selber hält. Eine Kapitalerhöhung ist in diesem Zusammenhang nicht geplant.

Consultation procedure in France successfully completed
Acquisition on track
As announced at the beginning of May, Siegfried Group (SIX: SFZN) has signed an agreement with BASF of Germany concerning the acquisition of BASF’s custom synthesis and significant parts of the active pharmaceutical ingredients business including related chemical-pharmaceutical production sites in Germany, France and Switzerland. The required consultation process in France has, in the meantime, been successfully completed.
Siegfried’s CEO Dr. Rudolf Hanko: „The acquisition process is on track thanks to the efficient progress of the consultation procedure. We expect the acquisition to be finalized beginning of the fourth quarter.”
Important growth step
Following the successful acquisition of three BASF sites, Siegfried will reach total sales of over CHF 600 million and EBITDA in excess of CHF 100 million. The Siegfried Group will employ a workforce of about 2,200 employees at nine sites on three continents. The transaction provides an attractive base for continued profitable growth. The debt-free price of acquisition amounts to approximately EUR 270 million.
Financing secured
Financing of the transaction is secured by a syndicate of Swiss banks. Moreover, RAG-Stiftung Beteiligungsgesellschaft mbH based in Essen, Germany, will participate in Siegfried Holding AG’s hybrid bond, which will be devoted to finance a part of the acquisition. The bond entitles RAG-Stiftung to convert the amount into Siegfried Holding AG shares within 5 years. This corresponds to a stake in Siegfried of about 7 percent. It is expected that the stock will come from Siegfried Holding AG’s treasury shares. A share capital increase is not planned in this connection.
