Revision der UEV: Anhörung

20. August 2015: Die Übernahmekommission führt ab heute eine Anhörung über die Revision der Übernahmeverordnung durch. Erstens wird vorgeschlagen, die Veröffentlichung der Angebotsdokumente in den Zeitungen abzuschaffen. Zweitens soll die Publikation der Stellungnahme des Verwaltungsrats im Verfahren betreffend die Angebotspflicht (und vergleichbaren Verfahren) nur noch freiwillig sein.

Interessierte Personen sind eingeladen, ihre Stellungnahmen bis am 18. September 2015 einzureichen.

Révision de l'OOPA: consultation

20 août 2015: La Commission des OPA ouvre aujourd’hui une consultation publique relative à la révision de l’ordonnance des OPA. Il est notamment proposé (i) de supprimer la publication des documents d’offre dans les journaux et (ii) de rendre facultative la publication de la prise de position du conseil d’administration dans les procédures relatives à l’obligation de présenter une offre (et procédures similaires).

Les personnes intéressées sont invitées à adresser leurs prises de position jusqu’au 18 septembre 2015.

Revision of the TOO: consultation

20 August 2015: Today the TOB opens a consultation about the revision of the TOO. It is notably proposed to (i) abolish the publication of the offer documents in the newspapers and (ii) to make the publication of the statement of the board of directors optional in procedures relating to the obligation to make an offer (and similar procedures).

Interested persons are invited to take part in this consultation by 18 September 2015.
