Siegfried gibt Hybrid-Wandelanleihe mit der RAG-Stiftung Beteiligungsgesellschaft mbH aus Mittwoch, 30. September 2015 - 12:04
(SIX: SFZN) Wie im Mai dieses Jahres angekündigt, beteiligt sich die deutsche RAG-Stiftung Beteiligungsgesellschaft mbH aus Essen/Deutschland mit einer privat platzierten Hybrid-Wandelanleihe der Siegfried Holding AG im Umfang von CHF 60 Millionen an der Finanzierung der Übernahme von wesentlichen Teilen des Pharmazuliefergeschäfts von BASF.
Diese Hybrid-Wandelanleihe wurde per 29. September 2015 ausgegeben und berechtigt die RAG-Stiftung Beteiligungsgesellschaft mbH innerhalb der nächsten fünf Jahre zur Umwandlung der Anleihe in Aktien der Siegfried Holding AG, was eine Beteiligung in der Grössenordnung von bis zu rund 7 Prozent an Siegfried bedeuten würde. Die Umwandlung wird aus eigenen Aktien der Siegfried Holding AG sichergestellt und führt damit nicht zu einer Verwässerung.

Siegfried issues hybrid convertible bond with RAG-Stiftung Beteiligungsgesellschaft mbH
(SIX: SFZN) As announced in May 2015, RAG-Stiftung Beteiligungsgesellschaft mbH based in Essen, Germany, will participate in a privately placed hybrid bond of Siegfried Holding AG in the amount of CHF 60 million in order to finance Siegfried’s acquisition of significant elements of BASF’s pharmaceutical supply business.
The bond was issued on September 29, 2015, and entitles RAG-Stiftung Beteiligungsgesellschaft mbH to convert the amount within 5 years into Siegfried Holding AG shares, which corresponds to a stake in Siegfried of about 7 percent. It is expected that the shares will come from Siegfried Holding AG’s treasury shares, therefore not having a dilutive effect.
