L’Assemblea generale straordinaria di Credit Suisse Group AG approva due aumenti di capitale Donnerstag, 19. November 2015 - 19:41

Nell’ambito dell’odierna Assemblea generale straordinaria tenutasi a Berna, gli azionisti di Credit Suisse Group AG hanno approvato i due aumenti di capitale proposti: gli azionisti hanno approvato un aumento di capitale ordinario in forma di collocamento privato presso alcuni investitori qualificati di 58 000 000 azioni nominative di nuova emissione. Gli azionisti hanno inoltre approvato un secondo aumento di capitale ordinario da realizzare con l’offerta agli attuali azionisti di diritti di opzione su un massimo di 260 983 898 azioni nominative di nuova emissione.

Gli azionisti di Credit Suisse Group AG hanno approvato con il 94,95% dei voti rappresentati un aumento di capitale ordinario in forma di collocamento privato presso alcuni investitori qualificati di 58 000 000 azioni nominative di nuova emissione del valore nominale di CHF 0.04 ciascuna. Il collocamento privato è stato quindi approvato da una maggioranza superiore a quella richiesta di due terzi dei voti rappresentati all’Assemblea generale straordinaria.

Come comunicato in precedenza, alcuni investitori qualificati hanno concordato con Credit Suisse Group AG l’acquisto e la sottoscrizione alle consuete condizioni di 58 000 000 azioni nominative del valore nominale di CHF 0.04 ciascuna. Il prezzo di acquisto è di CHF 22.75 per azione e corrisponde al 94,5% del prezzo medio ponderato per il volume delle azioni nominative di Credit Suisse Group AG negoziate al SIX Swiss Exchange il 21 ottobre 2015. Il ricavato lordo atteso per Credit Suisse Group AG da questo collocamento privato è di CHF 1,32 miliardi.

Inoltre gli azionisti di Credit Suisse Group AG hanno approvato con la maggioranza del 95,98% dei voti rappresentati un secondo aumento di capitale ordinario in forma di un’offerta agli attuali azionisti di diritti di opzione su un massimo di 260 983 898 azioni nominative di nuova emissione del valore nominale di CHF 0.04 ciascuna. L’offerta di diritti di opzione proposta è stata quindi approvata da una maggioranza superiore a quella richiesta del 50% dei voti rappresentati all’Assemblea generale straordinaria.

Agli azionisti di Credit Suisse Group AG sarà quindi assegnato un diritto di opzione per ciascuna azione nominativa posseduta in data 20 novembre 2015 dopo la chiusura delle negoziazioni. 13 diritti di opzione alla sottoscrizione, con riserva di determinate restrizioni previste dalle leggi locali applicabili, conferiscono al possessore il diritto di acquistare 2 nuove azioni nominative al prezzo di offerta di CHF 18 per azione. Credit Suisse Group AG prevede un ricavato lordo dall’offerta di diritti di circa CHF 4,7 miliardi.

Si prevede che i diritti di opzione siano negoziati al SIX Swiss Exchange dal 23 novembre al 1° dicembre 2015. Il periodo di esercizio dei diritti di opzione è previsto dal 23 novembre al 3 dicembre 2015, ore 12.00 (CET). La quotazione e il primo giorno di negoziazione delle nuove azioni nominative al SIX Swiss Exchange, nonché la consegna delle nuove azioni nominative contro pagamento del prezzo di esercizio, sono previsti per il 4 dicembre 2015.
