Changes on the Board of Directors and Management Board
The Board of Directors is proposing that the General Meeting of Shareholders elect Peter Kurer as Chairman of the Board of Directors of Sunrise Communications Group AG (Sunrise). At the same time Michael Krammer and Robin Bienenstock, two experienced telecommunications specialists, are being proposed for election to the Board of Directors. On May 9, 2016, current CEO Libor Voncina will hand over to Olaf Swantee as the new CEO of Sunrise. Swantee, a Swiss citizen and experienced European operator, has recently stepped down as CEO of EE, the UK’s largest mobile operator and Europe’s leading 4G-provider.
Lorne Somerville, who stepped up as Chairman of the Board of Directors of Sunrise after the sudden death of Dominik Koechlin, is not standing for re-election as Chairman of the Board at the next Annual General Meeting of Shareholders of Sunrise on April 15, 2016. Peter Kurer, former Chairman of UBS AG and a Partner at BLR & Partners, Thalwil, is being proposed as a new member and Chairman of the Board of Directors as well as a member of the Nomination and Compensation Committee of the Board.
"We are honoured that Peter Kurer has agreed to accept our invitation to stand as Chairman of Sunrise. His experience of public company leadership in the Swiss business community will be of tremendous benefit to Sunrise”, says Lorne Somerville, who will continue to sit on the Board of Directors of Sunrise. "I am looking forward to the job. Following its successful turnaround and IPO, Sunrise is well equipped for the future," says Peter Kurer.
The General Meeting of Shareholders will also be asked to elect Michael Krammer, successful telecommunications entrepreneur and former CEO of Orange in Austria and e-Plus in Germany, and Robin Bienenstock, a fund manager and formerly lead analyst at the global telecoms investment fund Sandford Bernstein, to the Board of Directors of Sunrise. Both are designated to join the Audit Committee of the Board.
Peter Schöpfer, Vice-Chairman and Chairman of the Nomination and Compensation Committee, and Jesper Ovesen, Chairman of the Audit Committee, as well as Lorne Somerville, member of the Nomination and Compensation Committee, stand for re-election. Daniel Pindur and Siddharth Patel resign as members of the Board of Directors effective at the end of the Annual General Meeting on April 15, 2016.
Olaf Swantee becomes new CEO
At the same time the company is announcing that Libor Voncina, who has headed Sunrise for more than 3 years, and who successfully took the company public a year ago, will be stepping down on May 9, 2016. His successor is Olaf Swantee, former CEO of UK mobile provider EE. Over the last 4.5 years, Swantee, previously Head of Europe at Orange (France Telecom), has led EE, created from the merger between Orange and T-Mobile, to become UK's largest mobile provider and clear network leader.
"For us this is an ideal transition after the fantastic work done by Libor, who made the company fit again and floated it on the stock market. Olaf Swantee is a successful leader who is Swiss, sensitive to the requirements and opportunities of our market and who has successfully managed telecommunications and mobile service operators in several European countries," says Chairman of the Board Lorne Somerville. "Libor Voncina will be available to advise the new CEO and ensure a smooth handover."
“The last years have been the most intensive of my career”, says Libor Voncina, CEO. “We have achieved so much as a team together with CVC and as a listed company. Olaf is the right leader for the next phase of the company’s development and I am excited for its prospects.”
Olaf Swantee adds: "I'm very excited to be joining Sunrise, a company with bright and committed staff and customer’s who have high expectations of Sunrise's future. The mobile network is very strong, something I am particularly passionate about. In addition, the company is already well known for its outstanding customer service. I will continue to develop this, and serve our customers with innovative products and services to keep them convinced to have the right partner with Sunrise. It is also a return to the country in which my children were born and in which I enjoyed working for many years."
