THERAMetrics holding AG (“SIX: TMX”) publishes the agenda for the Annual General Meeting; Renewal of the Board of Directors and new Board members Montag, 02. Mai 2016 - 07:22

THERAMetrics holding AG (“THERAMetrics”) today announces the agenda items for the Annual General Meetings of shareholders (“AGM”) of May 25, 2016. 

The Board is proposing a number of resolutions related to the business combination with Release Therapeutics SA that was announced on December 21, 2015, and in particular an ordinary capital increase.

In connection with and in view of the business combination with Relief Therapeutics SA, THERAMetrics also proposes to renew the Board of Directors and to elect Messrs. Antonino Amato, Raghuram Selvaraju, Michel Dreano and Peter de Svastitch as new members of the board of directors. From the current board of directors only Mr Raffaele Petrone, who is also Chairman and CEO, is standing for re-election, while Messrs. Bob Patterson, Michael Keller, Claudio Palladini and Fulvio Citaredo will not stand for re-election. Out of the new proposed members of the board of directors Messrs. Dreano, Selvaraju and de Svastitch are representatives of Relief Therapeutics SA, whereby Messrs. Selvaraju and De Svastitch are also representatives of investor GEM Global Emerging Markets. Mr Amato is a representative of the current majority shareholders of THERAMetrics. It is furthermore proposed to elect Mr Raghuram Selvaraju as new Chairman of the board of directors.

Subject to and conditional upon approval by the shareholders of the proposed capital increase for the business combination with Relief Therapeutics SA and execution of such capital increase, THERAMetrics is also proposing to change its name into RELIEF THERAPEUTICS Holding AG and to transfer its corporate headquarters from Stans to Zurich.

The formal invitations will be sent to the shareholders in the next days and will also be available to download from the THERAMetrics website (www.therametrics.com).
