Hochdorf, 25. Juli 2016 – Die HOCHDORF Holding AG hat die Integration nachgelagerter Wertschöpfungsstufen insbesondere im internationalen Umfeld zu einem strategischen Ziel erklärt. Im Geschäftsbereich Baby Care besteht mit der Pharmalys Laboratories SA ein gegenseitiges Interesse an einer Integration in die HOCHDORF-Gruppe. Eine entsprechende Absichtserklärung wurde unterzeichnet.
Die HOCHDORF Holding AG ist mit ihrer Tochtergesellschaft, der HOCHDORF Swiss Nutrition AG, und deren Geschäftsbereich Baby Care nicht selber am Markt mit Endkonsumenten aktiv. Dies soll sich mit einer Mehrheitsbeteiligung an der Pharmalys Laboratories SA mit Hauptsitz in Baar (ZG) ändern.
Aktiv in 42 Ländern
Für die Pharmalys-Gruppe sind weltweit über 500 Mitarbeitende direkt oder indirekt tätig. Das Unternehmen vermarktet Babynahrung unter der Marke Primalac sowie Babynahrung und Cerealien unter der Marke Swisslac. Die Produkte sind in 42 Ländern Europas, Asiens, Afrikas und des Mittleren Ostens erhältlich. Die Pharmalys Laboratories SA ist ein stark wachsendes Unternehmen: Pharmalys ist seit 2008 Kunde von HOCHDORF und wird dieses Jahr ihren Umsatz auf voraussichtlich CHF 70 Mio. bei zweistelligen EBIT-Margen steigern. Das Unternehmen will den Umsatz und den EBIT in den nächsten zwei Jahren verdoppeln.
«Wir erzielten in den letzten Jahren mit den HOCHDORF Produkten ein sehr grosses Wachstum, welches wir fortsetzen wollen. Mit einer Integration könnten wir unseren Zugang zu den hochwertigen HOCHDORF Produkten sichern. HOCHDORF erhält im Gegenzug direkten Zugang zu den Konsumenten in unseren hochinteressanten Märkten», erklärt der Gründer und CEO der Pharmalys-Gruppe Amir Mechria.
Im Rahmen dieser Transaktion wird sich HOCHDORF zudem eine Call Option für die Mehrheitsanteile der ebenfalls zur Pharmalys-Gruppe gehörenden Phamena Ltd mit Sitz in Dubai sichern. Die Phamena Ltd bedient ausschliesslich den lybischen Markt.

Im nächsten Schritt wird der Kaufvertrag verhandelt. Das Zustandekommen des Kaufvertrages ist von verschiedenen Bedingungen abhängig. Es kann weder aus der Absichtserklärung noch aus dieser
Medienmitteilung abgeleitet werden, dass die HOCHDORF Holding AG jetzt oder zu einem späteren Zeitpunkt eine Minderheits- oder Mehrheitsbeteiligung an der Pharmalys Laboratories SA erwirbt.

Hochdorf, le 25 juillet 2016 – La HOCHDORF Holding SA a défini l’intégration de niveaux de création de valeur situés en aval, en particulier dans un environnement international, comme étant l’un de ses objectifs stratégiques. Dans le domaine d’activités Baby Care, il existe un intérêt réciproque quant à une intégration de la Pharmalys Laboratories SA dans le Groupe HOCHDORF. Les deux parties ont d’ores et déjà signé une déclaration d’intention.
Avec sa filiale HOCHDORF Swiss Nutrition SA et le domaine Baby Care de cette dernière, la HOCHDORF Holding SA n’exerce pas d’activités commerciales directes sur le marché des consommateurs utilisateurs. Avec une prise de participation majoritaire à la Pharmalys Laboratories SA, dont le siège est à Baar (ZG), ceci doit changer.

Le Groupe Pharmalys emploie directement ou indirectement plus de 500 personnes dans le monde entier. L’entreprise commercialise des aliments nutritionnels pour nourrissons sous la marque Primalac ainsi que des aliments nutritionnels pour nourrissons et des céréales sous la marque Swisslac. Les produits sont vendus dans 42 pays en Europe, Asie, Afrique et au Moyen-Orient. La Pharmalys Laboratories SA est une entreprise qui connaît une forte croissance: Pharmalys est depuis 2008 client de HOCHDORF; son chiffre d’affaires augmentera cette année pour atteindre un montant prévisionnel de CHF 70 mio. pour des marges EBIT se situant dans la plage à deux chiffres. Au cours des deux prochaines années, l’entreprise veut multiplier par deux son chiffre d’affaires et son EBIT.«Au cours des deux dernières années, nous avons réalisé avec les produits HOCHDORF une très grande croissance que nous souhaitons poursuivre. Avec une intégration, nous pourrions assurer notre accès au segment des produits premium HOCHDORF. Dans le cadre de cette transaction, le Groupe HOCHDORF va par ailleurs s’assurer une option d’achat pour une participation majoritaire à la société Phamena Ltd, dont le siège est à Dubaï et qui fait également partie du Groupe Pharmalys. La Phamena Ltd sert exclusivement le marché de la Libye.

La prochaine étape porte sur la négociation du contrat de vente. La signature de ce dernier est fonction d’un certain nombre de conditions. Ni la déclaration d’intention ni le présent communiqué de presse ne donne lieu à déduire que la HOCHDORF Holding SA va prendre maintenant ou à une date ultérieure une participation minoritaire ou majoritaire à la Pharmalys Laboratories SA.

Forward integration with Pharmalys Laboratories SA under examination

Hochdorf, 25 July 2016 – HOCHDORF Holding Ltd previously announced the integration of downstream stages of the value creation stream as one of its strategic aims, particularly for the international market. In the area of Baby Care there is now mutual interest with Pharmalys Laboratories SA in pursuing an integration with the HOCHDORF Group. A Memorandum of Understandig has been signed to this effect.
HOCHDORF Holding Ltd does not currently supply the end consumer market in the Baby Care area through its subsidiary HOCHDORF Swiss Nutrition Ltd. This would change with a majority shareholding in Pharmalys Laboratories SA, based in Baar (ZG).

The Pharmalys Group has a staff of more than 500 direct and indirect employees around the world. The company markets infant nutrition under the Primalac brand; it also markets infant nutrition and cereals under the Swisslac brand. Its products are available in 42 countries in Europe, Asia, Africa and the Middle East. Pharmalys Laboratories SA is a company that has shown rapid growth: a HOCHDORF customer since 2008, Pharmalys expects to achieve sales of CHF 70 million this year with a two-figure increase in the EBIT Margins. The company is seeking to double its turnover and EBIT in the next two years."We have achieved a very rapid growth in recent years with HOCHDORF products and we would like to continue in this vein. An integration can guarantee our access to the high-quality HOCHDORF products. In return HOCHDORF will receive direct access to consumers in our highly attractive markets," explained founder and CEO of the Pharmalys Group, Amir Mechria.
As part of this transaction, HOCHDORF will secure a call option for majority share in the Dubai-based Phamena Ltd, which is also part of the Pharmalys Group. Phamena Ltd operates exclusively in the Libyan market.

The next step will be to negotiate a purchase agreement. Adoption of the purchase agreement will depend on a variety of conditions. It may not be derived from either the Memorandum of Understandig or this press release that HOCHDORF Holding Ltd has acquired a minority or majority shareholding in Pharmalys Laboratories SA either now or in the future.
