DÄTWYLER: AUSSERORDENTLICHE GENERALVERSAMMLUNG GENEHMIGT KAPITALERHÖHUNG
Die ausserordentlichen Generalversammlung der Dätwyler Holding AG hat heute dem Antrag des Verwaltungsrats von Dätwyler zur Ermächtigung zur Ausgabe von neuem genehmigtem Kapital bis zu maximal 10% des Aktienkapitals (entsprechen CHF 84'999.94) am oder vor dem 9. August 2018 zugestimmt. In diesem Zusammenhang wurde die Aufnahme eines neuen Artikels 3a in die Statuten der Gesellschaft genehmigt.
Verwaltungsratspräsident Ulrich Graf hat an der ausserordentlichen Generalversammlung dargelegt, dass das genehmigte Kapital die Flexibilität von Dätwyler in der Umsetzung der Wachstumsstrategie erhöhe. Die Schaffung des genehmigten Kapitals ermöglicht Dätwyler, das Kapital innerhalb der nächsten zwei Jahre bei Bedarf zu erhöhen. Dies vor allem im Hinblick auf potentielle Akquisitionen wie das bestehende Übernahmeangebot für die britische Premier Farnell plc., wo Dätwyler derzeit das weitere Vorgehen prüft und zu gegebener Zeit wieder dazu kommunizieren wird. Ulrich Graf betonte, dass das genehmigte Kapital nur liberiert wird, wenn geplante Akquisitionen nicht primär mit anderen finanziellen Mitteln bezahlt werden können.

DATWYLER EXTRAORDINARY GENERAL ASSEMBLY APPROVES CAPITAL INCREASE
The extraordinary general assembly of Dätwyler Holding AG approved today the request by the Board of Directors of Datwyler to issue new authorised capital of up to a maximum of 10% of total share capital (equivalent to CHF 84,999.94) on or before 9 August 2018. In this regard, a new Article 3a was approved and incorporated into the company's bylaws.
At the Extraordinary General Meeting, Chairman Ulrich Graf explained that the authorised capital would increase Datwyler’s flexibility in implementing its growth strategy. The creation of authorised capital means that Datwyler can increase the share capital as and when necessary within the next two years, mainly with a view to potential acquisitions. The existing acquisition offer for UK company Premier Farnell plc is one such example, in relation to which Datwyler is considering how to proceed and will communicate in due course. Ulrich Graf emphasised that the authorised capital will only be paid in the case of planned acquisitions that cannot be funded primarily through other means.
