Swisscom: Renzo Simoni wird Staatsvertreter im Verwaltungsrat Freitag, 09. Dezember 2016 - 17:43

Dr. Renzo Simoni (1961) ist seit 2007 Vorsitzender der Geschäftsleitung der AlpTransit Gotthard AG. Als solcher hat der promovierte Bauingenieur ETH mit dem Gotthard-Basistunnel eines der anspruchsvollsten Infrastrukturprojekte des Bundes geführt. Renzo Simoni wird sein Mandat im Verwaltungsrat der Swisscom AG ab der Generalversammlung im April 2017 übernehmen. Dabei wird er Hans Werder ersetzen, der seine Funktion als Staatsvertreter im Verwaltungsrat der Swisscom seit April 2011 innehatte. Hans Werder scheidet altershalber aus dem Verwaltungsrat aus. „Wir danken Hans Werder herzlich für sein Engagement. Mit seinen profunden Kenntnissen des Unternehmens und der verwaltungsinternen Abläufe sowie seinem politischen Gespür hat Hans Werder kritisch, aber stets konstruktiv mitgewirkt“, erklärt Hansueli Loosli, Präsident des Verwaltungsrats.
Aufgabe des Staatsvertreters im Verwaltungsrat der Swisscom AG ist es, die Anliegen des Bundes, der laut Telekommunikationsunternehmungsgesetz die Mehrheit an Swisscom hält, in das Gremium einzubringen. Gemäss Statuten wird der Staatsvertreter nicht durch die Generalversammlung gewählt, sondern durch den Bundesrat bestimmt. Der Bund hat dabei grundsätzlich das Recht auf zwei Repräsentanten im Verwaltungsrat der Swisscom AG, entsendet aber aktuell nur einen Staatsvertreter.

Renzo Simoni représente la Confédération dans le Conseil d'administration

Dr Renzo Simoni (1961) siège à la présidence de direction d'AlpTransit Gotthard AG depuis 2007. Dans cette fonction, cet ingénieur EPF titulaire d’un doctorat en génie civil, a dirigé l'un des projet d'infrastructure les plus ambitieux de la Confédération: le tunnel de base du Gotthard. Renzo Simoni commencera son mandat au sein du Conseil d'administration de Swisscom à compter de l'Assemblée générale d'avril 2017, où il succédera à Hans Werder. Membre du Conseil d’administration depuis 2011, Hans Werder se retire de sa fonction de représentant fédéral. «Nous adressons nos plus vifs remerciements à Hans Werder pour son engagement. Par sa parfaite connaissance de l'entreprise et des processus de gestion internes et aussi grâce à son flair politique, Hans Werder a toujours contribué aux destinées du groupe de manière à la fois constructive et critique», a déclaré Hasueli Loosli, président du Conseil d'administration.
La mission du représentant au sein du Conseil d'administration de Swisscom est d'y donner une voix à la Confédération, actionnaire majoritaire de Swisscom en vertu de la loi sur l'entreprise de télécommunications. Conformément aux statuts, le représentant de la Confédération n’est pas élu par l’Assemblée générale, mais par la Confédération. La Confédération a le droit d'y faire siéger deux représentants, mais actuellement elle n'y fait intervenir qu'un seul.

Renzo Simoni è il nuovo rappresentante statale nel Consiglio di amministrazione

Il dott. Renzo Simoni (1961) è Presidente della Direzione di AlpTransit San Gottardo SA dal 2007. Titolare di un dottorato ETH in ingegneria civile, con la galleria di base del San Gottardo ha diretto uno dei progetti infrastrutturali più impegnativi della Confederazione. Renzo Simoni rileverà il mandato in seno al Consiglio di amministrazione di Swisscom SA a partire dall’Assemblea generale di aprile 2017. Sostituirà così Hans Werder, che ricopriva la funzione di rappresentante statale nel Consiglio di amministrazione di Swisscom dall’aprile 2011. Hans Werder lascia il Consiglio di amministrazione per motivi d’età. «Ringraziamo di cuore Hans Werder per il suo impegno. Con le sue conoscenze approfondite dell’azienda e delle procedure amministrative interne nonché la sua sensibilità politica, Hans Werder ha partecipato con spirito critico, ma sempre costruttivo» dichiara Hansueli Loosli, Presidente del Consiglio di amministrazione.
Compito del rappresentante statale nel Consiglio di amministrazione di Swisscom SA è di portare all’interno dell’organo le richieste della Confederazione, che ai sensi della legge federale sull’organizzazione dell’azienda delle telecomunicazioni della Confederazione detiene la maggioranza di Swisscom. Conformemente allo statuto, il rappresentante statale non viene eletto dall’Assemblea generale, ma designato dal Consiglio federale. La Confederazione ha sostanzialmente diritto a due rappresentanti in seno al Consiglio di amministrazione di Swisscom SA, ma attualmente ne invia uno solo.

Renzo Simoni is chosen to represent Swiss government on Board of Directors

Dr Renzo Simoni (1961) has been Chairman of the Management Board at AlpTransit Gotthard AG since 2007. As such, the electrical engineering graduate of the Swiss Federal Institute of Technology (ETH) was responsible for one of Switzerland’s most challenging infrastructure projects – the Gotthard Base Tunnel. Renzo Simoni will take up his duties within the Swisscom Ltd Board of Directors as of the Annual Shareholders’ Meeting in April 2017. Simoni replaces Hans Werder, who has been the government’s representative on the Swisscom Board of Directors since April 2011. Werder is retiring for age-related reasons. “We would like to extend our sincere thanks to Hans Werder for his commitment,” says Hansueli Loosli, the Chairman of the Board of Directors. “His profound knowledge of the company and its internal administrative procedures as well as his political sensitivity have enabled Hans Werder to be critical yet always constructive in his collaboration with us.”
The purpose of the government representative on the Swisscom Ltd Board of Directors is to present the concerns of the federal government, which holds a majority shareholding in Swisscom under the Swiss Telecommunications Enterprise Act. In accordance with the Articles of Incorporation, the government’s representative is appointed not by the Annual Shareholders’ Meeting but by the Federal Council itself. Although the federal government has a right to two representatives on the Swisscom Ltd Board of Directors, it currently appoints only one.
