UBS shareholders approved all the Board of Directors' proposals at today's Annual General Meeting in Basel. Shareholders confirmed the re-election of the Chairman and the members of the Board of Directors. They elected Julie G. Richardson as a new member of the Board. They approved the payout of an ordinary dividend of CHF 0.60 per share, unchanged from the previous year. They approved the proposals relating to the remuneration of the members of the Board of Directors and the Group Executive Board and accepted the Compensation Report 2016. 1,377 shareholders attended the meeting, representing 2,197,313,223 votes.
Zurich, 4 May 2017 – UBS Group AG shareholders approved all of the Board of Directors' proposals at today's Annual General Meeting in Basel.
Management report and consolidated and standalone financial statements approved
Shareholders approved the management report and the consolidated and standalone financial statements for the financial year 2016 of UBS Group AG (99.44%).
Compensation report approved
Shareholders approved the Compensation Report 2016 in an advisory vote by 88.42%.
Appropriation of retained earnings and dividend distribution approved
Shareholders approved the payout of an ordinary dividend from the capital contribution reserve of CHF 0.60 per share (99.59%) for the financial year 2016.
Discharge of the members of the Board of Directors and the Group Executive Board approved
Shareholders approved the discharge of the members of the Board of Directors and the Group Executive Board for the financial year 2016 (91.63%).
Aggregate amount of variable compensation for the members of the Group Executive Board approved
Shareholders approved the aggregate amount of variable compensation for the members of the Group Executive Board for the financial year 2016 (88.89%).
Maximum aggregate amount of fixed compensation for the members of the Group Executive Board approved
Shareholders approved the maximum aggregate amount of fixed compensation for the members of the Group Executive Board for the financial year 2018 (91.43%).
Elections to the Board of Directors
The Annual General Meeting confirmed the Chairman of the Board of Directors, Axel A. Weber (97.06 %), and fellow Board members Michel Demaré (98.95%), David Sidwell (99.10%), Reto Francioni (99.12%), Ann F. Godbehere (98.58%), William G. Parrett (93.24%), Isabelle Romy (99.35%), Robert W. Scully (99.21%), Beatrice Weder di Mauro (99.29%) and Dieter Wemmer (85.73%) in office for a further year. The AGM also elected Julie G. Elections of the members of the Compensation Committee
Shareholders elected Ann F. Godbehere (98.01%), Michel Demaré (98.35%), Reto Francioni (98.41%) and William G. Parrett (92.85%) to the Compensation Committee for a one-year term of office.
Maximum aggregate amount of compensation for the members of the Board of Directors approved
Shareholders approved the maximum aggregate amount of compensation for the members of the Board of Directors from the Annual General Meeting 2017 to the Annual General Meeting 2018 (89.14%).
Re-elections
Shareholders approved the re-election of the independent proxy ADB Altdorfer Duss & Beilstein AG, Zurich, and of the auditors Ernst & Young Ltd, Basel.
