Übernahme des Automobilzuliefergeschäfts EFTEC in den Wachstumsmärkten Zentral- und Osteuropa vollzogen
Die EMS-Gruppe, die weltweit in den Geschäftsbereichen Hochleistungspolymereund Spezialchemikalien tätig ist und deren Gesellschaften in der EMS-CHEMIE HOLDING AG zusammengefasst sind, informierte am 6. März 2013 über die Absicht, vom tschechischen Partner D PLAST dessen 50% Anteile am gemeinsamen Joint Venture D PLAST-EFTEC und damit die alleinige Kontrolle über das EFTEC-Geschäft in Zentral- und Osteuropa zu übernehmen. Inzwischen haben die zuständigen Kartellbehörden dem Kauf vorbehaltlos zugestimmt. Die Eigentumsübertragung hat gestern Abend stattgefunden.
Der zur EMS-Gruppe gehörende weltweite Automobilzulieferer EFTEC entwickelt, produziert und vermarktet Materialien und Applikationstechnologien in den Spezialbereichen Kleben, Schützen, Dichten und Dämpfen und verfügt mit diesen Anwendungen über führende Marktstellungen weltweit. Mit der Übernahme beabsichtigt EMS, das Geschäft in den Wachstumsmärkten Zentral- und Osteuropa weiter auszubauen.
Das Geschäft umfasst neben dem Hauptsitz in Zlin (Tschechien) vier Produktionsstandorte in Hradek (Tschechien), Nizhniy Novgorod (Russland), Elabuga (Russland) und Budeasa (Rumänien), sowie Verkaufbüros in der Ukraine, der Slowakei und in Slowenien. 2012 wurde mit 211 Mitarbeitern ein Umsatz von 82 Mio. CHF erzielt.

Take-over of the EFTEC automotive supply business in the growth markets of Central and Eastern Europe completed
The EMS Group, globally active in the business areas of High Performance Polymers and Specialty Chemicals and with its companies combined in the EMS-CHEMIE HOLDING AG, announced on March 6, 2013, its take-over of the 50% share of its Czech partner D PLAST in the joint venture D PLAST-EFTEC. In this way EMS gains complete control of the EFTEC business in Central and Eastern Europe. In the meantime, the corresponding anti-trust authorities have given their unconditional approval to this take-over. The transfer of ownership was carried out yesterday evening.
The EMS business unit EFTEC, worldwide supplier to the automotive industry, develops, produces and markets materials and application technology in the specialised fields of bonding, coating, sealing and damping. With these applications EFTEC holds leading market positions worldwide. With this take-over, EMS intends to further expand this business in the growth markets of Central and Eastern Europe.
The take-over includes the headquarters in Zlin (Czech Republic), four production locations at Hradek (Czech Republic), Nizhniy Novgorod (Russia), Elabuga (Russia) and Budeasa (Romania) as well as sales offices in the Ukraine, Slovakia and Slovenia. In 2012 net sales of CHF 82 million were achieved with a workforce of 211 employees.
