Sunrise confirms completion of the strategic partnership agreement with a Consortium led by Cellnex
Following the announcement of 24 May 2017, Sunrise Communications Group AG ("Sunrise") announced today that following receipt of the necessary merger control clearance as well as fulfilment of all the other closing conditions, it has completed the sale of Swiss Towers AG (“Swiss Towers”) to a consortium led by Cellnex Telecom S.A. and including Swiss Life Asset Managers and Deutsche Telekom Capital Partners for a consideration of CHF 500m. Swiss Towers, which was a wholly-owned subsidiary of Sunrise, comprises a portfolio of 2,239 telecom towers across Switzerland. In conjunction with the sale and the conclusion of a long-term service contract regarding the provision of tower infrastructure services, Sunrise also entered into service agreements based on which Sunrise will provide certain (transitional) services to Swiss Towers, as well as a build-to-suit agreement based on which Sunrise is subcontracted to build new telecom towers.
Following the closing of the Transaction, Sunrise and Sunrise Communications Holdings S.A. intend to use a portion of the received consideration to repay and cancel CHF 450m of their existing term loans under the senior facilities agreement originally dated 13 January 2015 (as amended and/or restated from time to time). The prepayment and cancellation is scheduled on 04 August 2017.
UBS acted as lead financial advisor, ValueTrust Financial Advisors as carve-out advisor, Ernst & Young as accounting and tax advisor, and CMS Switzerland together with CMS Germany as legal advisors.
