Wetzikon, 25. April 2013 – Die Generalversammlung der Elma Electronic AG hat alle Anträge des Verwaltungsrates angenommen.

Nach der Genehmigung des Geschäftsberichtes und der Jahresrechnungen 2012 sowie der Kenntnisnahme von den Berichten der Revisionsstelle entschied die Generalversammlung über die Verwendung des Bilanzgewinnes der Elma Electronic AG. Auf die Ausschüttung einer Dividende wurde verzichtet. Dem Verwaltungsrat und der Geschäftsleitung wurde Entlastung erteilt.

Alle bisherigen Verwaltungsräte Walter Häusermann, David Schnell, Rudolf W. Weber und Martin Wipfli wurden von den Aktionären für ein weiteres Jahr bestätigt. PricewaterhouseCoopers AG wurde als Revisionsstelle für eine weitere Amtsdauer von einem Jahr bestätigt.

Shareholders approve all motions proposed by the Board of Directors

Wetzikon, April 25, 2013 – The Annual General Meeting of Elma Electronic AG has approved all the proposals put forward by the Board of Directors.

After approving the 2012 annual report and financial statements and acknowledging the report of the statutory auditors, the AGM made its decision on the appropriation of Elma’s net profit for the year. It decided to forego the payment of any dividend. The acts of the Board of Directors and Group Executive Board were formally discharged.

Elma’s shareholders re-elected all existing members of the Board, Walter Häusermann, David Schnell, Rudolf W. Weber and Martin Wipfli for a further term of office of one year. PricewaterhouseCoopers AG were re-elected as auditors for a further term of one year.
