Verfügung 630/03 vom 22. November 2017 24. November 2017: Mit ihrer Verfügung vom 22. November 2017 stellte die Übernahmekommission fest, dass die im Angebotsprospekt vom 20. Mai 2016 enthaltenen Angaben über den Anbieter, HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd., teilweise unwahr bzw. unvollständig sind. 

Der Wortlaut des Dispositivs der Verfügung vom 22. November 2017 lautet wie folgt:

  1. 1.
Es wird festgestellt, dass die gemäss Art. 19 Abs. 1 Bst. b und c UEV i.V.m. Art. 127 Abs. 1 FinfraG erforderlichen Angaben über den Anbieter im Angebotsprospekt vom 20. Mai 2016 unwahr bzw. unvollständig waren, und zwar wie folgt:


- Die von Bharat Bhisé und Jun Guan gehaltenen Beteiligungen an HNA Group Co., Ltd. betrugen 17.15% bzw. 12.01% und nicht– wie im Angebotsprospekt vom 20. Mai 2016 angegeben – 17.40% bzw. 12.35%.


- Bharat Bhisé und Jun Guan hielten ihre Beteiligungen an HNA Group Co., Ltd. in der Höhe von 17.15% bzw. 12.01% treuhänderisch für Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing sowie Chen Wenli, weshalb Letztere als an diesen Beteiligungen wirtschaftlich Berechtigte ebenfalls im Angebotsprospekt vom 20. Mai 2016 hätten aufgeführt werden müssen.


- Mit Blick auf die durch das Hainan Airlines Company Limited Employees Union Committee gehaltene Beteiligung an HNA Group Co., Ltd. von 47.50% hätten Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing sowie Chen Wenli als indirekte Halter im Angebotsprospekt vom 20. Mai 2016 aufgeführt werden müssen.


- Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing und Chen Wenli hätten als eine die HNA Group Co., Ltd. und damit indirekt auch die HNA Aviation (Hong Kong) Air Catering Holding Co. beherrschende Gruppe im Angebotsprospekt vom 20. Mai 2016 aufgeführt werden müssen.


  1. 2.
Die Prüfstelle Ernst & Young AG wird beauftragt, zu überprüfen, ob die aus Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing und Chen Wenli bestehende beherrschende Gruppe sowie Bharat Bhisé und Jun Guan die Mindestpreisvorschriften und die Best Price Rule eingehalten haben.

  1. 3.
HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd. hat das Dispositiv dieser Verfügung auf Deutsch, Französisch und Englisch gemäss Art. 7 UEV bis spätestens am Freitag, 24. November 2017 zu veröffentlichen.

  1. 4.
Diese Verfügung wird am Tag der Veröffentlichung gemäss Dispositiv-Ziffer 3 auf der Webseite der Übernahmekommission publiziert.

  1. 5.
Die Gebühr zu Lasten von HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd. und HNA Group Co., Ltd. beträgt CHF 50'000, unter solidarischer Haftung.



24 November 2017: With its decision dated 22 November 2017, the Swiss Takeover Board asserted that the information about the offeror, HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd., as disclosed in the Offer Prospectus dated 20 May 2016 is partially untrue respectively incomplete.

The complete text of the findings contained in the decision dated 22 November 2017 reads as follows (English translation):

  1. 1.
It is concluded that the information regarding the offeror required according to art. 19 para. 1 lit. b and c TOO in connection with art. 127 para. 1 FMIA was untrue respectively incomplete in the offer prospectus of 20 May 2016, namely as follows:


- The participations in HNA Group Co., Ltd. held by Bharat Bhisé and Jun Guan amounted to 17.15% respectively 12.01% and not – as specified in the offer prospectus of 20 May 2016 – 17.40% respectively 12.35%.


- Bharat Bhisé and Jun Guan held their participations in HNA Group Co., Ltd. in the amount of 17.15% respectively 12.01% as trustees for Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing as well as Chen Wenli, which is why the latter should have also been disclosed as beneficial owners of these participations in the offer prospectus of 20 May 2016.


- With a view to the participation in HNA Group Co., Ltd. held by Hainan Airlines Company Limited Employees Union Committee of 47.50%, Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing as well as Chen Wenli should have been disclosed as indirect holders in the offer prospectus of 20 May 2016.


- Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing as well as Chen Wenli should have been disclosed as a group controlling HNA Group Co., Ltd. and thus indirectly also controlling HNA Aviation (Hong Kong) Air Catering Holding Co. in the offer prospectus of 20 May 2016.


  1. 2.
The review body Ernst & Young AG is mandated to examine whether the controlling group consisting of Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing and Chen Wenli as well as Bharat Bhisé and Jun Guan have complied with the minimum price rules and the Best Price Rule.

  1. 3.
HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd. has to publish the ruling of this order in German, French and English according to art. 7 TOO until Friday, 24 November 2017, at the latest.

  1. 4.
This order will be published on the website of the Takeover Board on the day of the publication according to para. 3 of the ruling.

  1. 5.
The fee to be borne by HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd. and HNA Group Co., Ltd. amounts to CHF 50'000, under joint and several liability.

 

24 novembre 2017: Par décision du 22 novembre 2017, la Commission des OPA a constaté que les informations concernant l'offrant, HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd., contenues dans le prospectus d'offre du 20 mai 2016 sont partiellement erronées, respectivement incomplètes.

Le dispositif de la décision du 22 novembre 2017 est le suivant (traduction en français):

  1. 1.
Il est constaté que les informations sur l'offrant, requises selon l'art. 19 al. 1 let. b et c OOPA en combinaison avec l'art. 127 al. 1 LIMF, étaient inexactes, respectivement incomplètes, dans le prospectus d'offre du 20 mai 2016, et ce de la manière suivante :


- Les participations dans HNA Group Co., Ltd. détenues par Bharat Bhisé et Jun Guan s'élevaient à 17.15%, respectivement 12.01%, et non pas – comme indiqué dans le prospectus d'offre du 20 mai 2016 – à 17.40%, respectivement 12.35%.


- Bharat Bhisé and Jun Guan détenaient leurs participations de 17.15%, respectivement 12.01%, dans HNA Group Co., Ltd. à titre fiduciaire pour Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing ainsi que Chen Wenli, de sorte que ces derniers auraient également dû figurer dans le prospectus d'offre du 20 mai 2016 en tant qu'ayants droit économiques de ces participations.


- A l'égard de la participation de 47.50% dans HNA Group Co., Ltd. détenue par Hainan Airlines Company Limited Employees Union Committee, Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing ainsi que Chen Wenli auraient dû figurer dans le prospectus d'offre du 20 mai 2016 en tant que détenteurs indirects.


- Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing et Chen Wenli auraient dû figurer dans le prospectus d'offre du 20 mai 2016 en tant que groupe dominant HNA Group Co., Ltd. et, partant, indirectement aussi HNA Aviation (Hong Kong) Air Catering Holding Co.


  1. 2.
L'organe de contrôle Ernst & Young AG est chargé de vérifier si le groupe dominant composé de Chen Feng, Wang Jian, Tan Xiangdong, Li Xianhua, Li Qing et Chen Wenli, ainsi que Bharat Bhisé et Jun Guan ont respecté les prescriptions relatives au prix minimum et la Best Price Rule.

  1. 3.
HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd. est tenue de publier le dispositif de la présente décision en allemand, français et anglais selon l'art. 7 OOPA jusqu'au vendredi 24 novembre 2017 au plus tard.

  1. 4.
La présente décision sera publiée sur le site web de la Commission des OPA le jour de la publication selon le chiffre 3 du dispositif.

  1. 5.
L'émolument à charge de HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd. et HNA Group Co., Ltd. s'élève à CHF 50'000, sous responsabilité solidaire.
