3. April 2019: Auf Anzeige im Sinne von Art. 62 UEV hin leitete die Übernahmekommission am 15. Oktober 2018 Untersuchungen mit Blick auf eine mögliche Verletzung der Best Price Rule anlässlich des öffentlichen Kaufangebots der Basler Kantonalbank an die Publikumsaktionäre der Bank Cler AG ein. Nachdem im Rahmen dieser Untersuchungen keine Hinweise bzw. Indizien für eine Verletzung der Best Price Rule gefunden werden konnten, stellt die Übernahmekommission die entsprechenden Untersuchungen ein.

3 avril 2019: En date du 15 octobre 2018, dans le prolongement d'une dénonciation au sens de l'art. 62 OOPA, la Commission des OPA a ouvert une enquête en vue de déterminer si une éventuelle violation de la règle du meilleur prix (Best Price Rule) avait été commise à l'occasion de l'offre publique d'acquisition de la Banque cantonale de Bâle aux actionnaires de Bank Cler AG. La Commission des OPA a clos ses investigations faute d'indices ou d'autres éléments susceptibles d'établir une violation de la Best Price Rule.

3 April 2019: On 15 October 2018, following a notification pursuant to Art. 62 of the Takeover Ordinance, the Swiss Takeover Board initiated investigations with a view to a possible violation of the Best Price Rule on the occasion of the public offer of Basler Kantonalbank to the public shareholders of Bank Cler AG. The Swiss Takeover Board has closed the investigations after no indications or indications of a violation of the Best Price Rule could be found in the course of these investigations.
