31. Mai 2019: Mit Verfügung 672/06 vom 2. Mai 2019 entschied die
UEK, dass CR Capital Investment Management Ltd. die Parteistellung
gewährt wird, soweit es um die Frage geht, ob CR Capital Investment
Management Ltd. angebotspflichtig i.S.v. Art. 135 Abs. 1 FinfraG wird
oder ob CR Capital Investment Management Ltd. mit Mengke Cai sowie mit
Himalaya (Cayman Islands) TMT Fund, Himalaya Asset Management Ltd.,
Xiang Xu und Kun Shen in gemeinsamer Absprache i.S.v. Art. 11 UEV
handelt.
31. Mai 2019: Mit Verfügung 672/07 vom 29. Mai 2019 entschied die
UEK, dass der Preis von CHF 8.70 pro Aktie von SHL Telemedicine Ltd. im
Rahmen des Pflichtangebotes von Himalaya (Cayman Islands) TMT Fund,
Himalaya Asset Management Ltd., Xiang Xu, Kun Shen und Mengke Cai an die
Aktionäre von SHL Telemedicine Ltd. um den Betrag von CHF 1.00 pro
Aktie von SHL Telemedicine Ltd. auf CHF 7.70 pro Aktie von SHL
Telemedicine Ltd. zu reduzieren ist.
31 mai 2019: Par décision 672/06 du 2 mai 2019, la Commission des
OPA a accordé à CR Capital Investment Management Ltd. la qualité de
partie dans la mesure où il s'agit de déterminer si CR Capital
Investment Management Ltd. est assujettie à l'obligation de présenter
une offre au sens de l'art. 135 al. 1 LIMF ou si CR Capital Investment
Management Ltd. agit de concert avec Mengke Cai ainsi qu'avec Himalaya
(Cayman Islands) TMT Fund, Himalaya Asset Management Ltd., Xiang Xu et
Kun Shen dans le contexte de l'art. 11 OOPA.
31 mai 2019: Par décision 672/07 du 29 mai 2019, la Commission
des OPA a décidé que le prix de CHF 8.70 par action de SHL Telemedicine
Ltd. fixé dans le cadre de l'offre obligatoire de Himalaya (Cayman
Islands) TMT Fund, Himalaya Asset Management Ltd., Xiang Xu, Kun Shen et
Mengke Cai aux actionnaires de SHL Telemedicine Ltd. doit être réduit
d'un montant de CHF 1.00 par action de SHL Telemedicine Ltd. au prix de
CHF 7.70 par action de SHL Telemedicine Ltd.
31 May 2019: With decision 672/06 of 2 May 2019, the TOB ruled
that CR Capital Investment Management Ltd. is granted the position of a
party with respect to the question of whether CR Capital Investment
Management Ltd. is obliged to launch a mandatory tender offer in the
sense of art. 135 para. 1 FMIA or whether CR Capital Investment
Management Ltd. is acting in concert together with Himalaya (Cayman
Islands) TMT Fund, Himalaya Asset Management Ltd., Xiang Xu und Kun Shen
in the sense of art. 11 TOO.
31 May 2019: With decision 672/07 of 29 May 2019, the TOB ruled
that the price of CHF 8.70 per share of SHL Telemedicine Ltd. for the
mandatory tender offer of Himalaya (Cayman Islands) TMT Fund, Himalaya
Asset Management Ltd., Xiang Xu, Kun Shen and Mengke Cai to the
shareholders of SHL Telemedicine Ltd. has to be reduced in the amount of
CHF 1.00 per share of SHL Telemedicine Ltd. to CHF 7.70 per share of
SHL Telemedicine Ltd.
