Aktionärsgruppe VERAISON und Parmino Holding sieht sich veranlasst, die Gespräche mit Implenia betreffend Alternativen zur ausserordentlichen Generalversammlung abzubrechen

VERAISON, Parmino Holding und Max Rössler haben im Nachgang zum Begehren für eine ausserordentliche Generalversammlung Gespräche mit dem Verwaltungsrat der Implenia und deren Beratern geführt. Ziel war es, eine konstruktive Lösung herbeizuführen, welche die Interessen der bestehenden Aktionäre schützt. Die eingebrachten Bedenken bezüglich der Zukunft der Entwicklungsdivision wurden seitens Implenia ernst genommen und auch eine Offenheit für Alternativen zugestanden. Weiterführende Gespräche wurden vom Verwaltungsrat aber an einschränkende Vorbedingungen geknüpft. Dies veranlasste die Aktionärsgruppe über das Wochenende vom 12. Oktober die Gespräche zu einer entsprechenden Stillhaltevereinbarung abzubrechen.

VERAISON und Parmino Holding erwarten die zeitnahe Einberufung der ausserordentlichen Generalversammlung bis spätestens Ende November. Auf dem Weg zur ausserordentlichen Generalversammlung ist die Aktionärsgruppe weiterhin offen, um konstruktive Lösungen zur Wertsicherung für die Gesellschaft und ihre Aktionäre zu besprechen.
