Based on questions received, Ascom confirms that all proposed new Board members are independent from Ascom and will be non-executive members.
At the Annual General Meeting of Ascom Holding AG (SIX: ASCN), to be held on 15 April 2020, four new members are proposed for election to the Board of Directors:
- Nicole Burth Tschudi, CEO Adecco Group Switzerland
- Laurent Dubois, former CEO GE Healthcare Partners
- Michael Reitermann, former Member of Managing Board Siemens Healthineers
- Dr Andreas Schönenberger, CEO of Sanitas Krankenversicherung
None of the proposed new Board Members has a Board membership in another publicly listed company. Nicole Burth is a board member of Veraison Capital AG.
Following the election of the proposed new Board Members, the Board of Directors of Ascom Holding AG will consist of six independent and non-executive members, including Dr Valentin Chapero Rueda who is proposed to be elected as Chairman of the Board and Jürg Fedier, who will be Chairman of the Audit Committee after his election.
