Der Übernahmeausschuss der FINMA weist die Beschwerde der Gebuka AG gegen die Verfügung 540/01 der UEK betreffend "Schmolz + Bickenbach AG" ab

Im Rahmen des laufenden Übernahmeangebots der Venetos Holding AG für alle sich im Publikum befindenden Namenaktien der Schmolz + Bickenbach AG entschied die Übernahmekommission (UEK) mit Verfügung 540/01 vom 25. Juli 2013, dass das öffentliche Kaufangebot von Venetos unter dem Vorbehalt von Anpassungen und Ergänzungen des Angebotsprospekts den gesetzlichen Bestimmungen über öffentliche Kaufangebote entspricht. Die qualifizierte Aktionärin Gebuka AG hat die Verfügung 540/01 angefochten.
Mit Verfügung vom 22. August 2013 wies der Übernahmeausschuss der FINMA die Beschwerde der Gebuka AG ab und bestätigte die Verfügung 540/1 der UEK vom 25. Juli 2013.

FINMA Takeover Committee dismisses the appeal against TOB decision 540/01 regarding "Schmolz + Bickenbach AG"
NewsWithin the framework of the current tender offer of Venetos Holding AG for all outstanding registered shares of Schmolz + Bickenbach AG, the Swiss Takeover Board (TOB) has determined, in its decision 540/01 dated 25 July 2013, that the public tender offer of Venetos meets the legal requirements provided some amendments and adjustments to the offer prospectus are made. The qualified shareholder Gebuka Ltd challenged the decision 540/01.
On 22 August 2013, the FINMA Takeover Committee dismissed the appeal of Gebuka AG and confirmed the TOB decision 540/1 dated 25 July 2013.

Le Comité des OPA de la FINMA a rejeté le recours de Gebuka AG contre la décision 540/01 de la COPA concernant "Schmolz + Bickenbach AG"
ActualitésDans le cadre de l'offre publique d'acquisition en cours de Venetos Holding AG pour toutes les actions nominatives de Schmolz + Bickenbach AG se trouvant en mains du public, la Commission des OPA (COPA) a, par décision 540/01 du 25 juillet 2013, constaté que l'offre publique d'acquisition de Venetos est conforme à la loi sous la condition que le prospectus de l'offre soit modifié. L'actionnaire qualifié Gebuka SA a contesté la décision 540/01.
Par décision du 22 août 2013, le Comité des offres publiques d'acquisition de la FINMA a rejeté le recours formé par Gebuka AG et a confirmé la décision 540/01 de la COPA du 25 juillet 2013..

Il Comitato per le offerte pubbliche d'acquisto della FINMA ha respinto il ricorso contro la decisione 540/01 della COPA concernente "Schmolz + Bickenbach AG"
AttualitàNel quadro dell'offerta pubblica di acquisto, attualmente in corso, di Venetos Holding AG per tutte le azioni nominative di Schmolz + Bickenbach AG detenute presso il pubblico, la Commissione per le offerte pubbliche d'acquisto (COPA) ha stabilito, con decisione 540/01 del 25 luglio 2013, che l'offerta pubblica di acquisto di Venetos è conforme alle disposizioni legali sulle offerte pubbliche d'acquisto, a condizione che vengano apportati alcuni adeguamenti e integrazioni al prospetto dell'offerta. L'azionista qualificato Gebuka AG ha impugnato la decisione 540/01.
Con decisione del 22 agosto 2013, il Comitato per le offerte pubbliche d'acquisto della FINMA ha respinto il ricorso di Gebuka AG ed ha confermato la decisione 540/01 della COPA del 25 luglio 2013.
