27. November 2020: Die Übernahmekommission informiert darüber, dass sie bis zum 26. November 2020 insgesamt 41 überwiegend identische Anzeigen gemäss Art. 62 Abs. 2 UEV erhalten hat, welche sich auf Swiss Steel Holding AG (ehemals Schmolz+Bickenbach AG) und auf die mit Verfügung des Übernahme- und Staatshaftungsausschusses der Eidgenössischen Finanzmarktaufsicht FINMA vom 6. Dezember 2019 zugunsten von BigPoint Holding AG und Martin Haefner gewährte Ausnahme von der Angebotspflicht nach Art. 136 Abs. 1 Bst. e FinfraG beziehen. Die Übernahmekommission weist darauf hin, dass sie über allfällige Verfahrensschritte in dieser Sache nicht öffentlich informieren wird.

27 novembre 2020: La Commission des OPA informe qu'au 26 novembre 2020, elle a reçu, au total, 41 dénonciations sensiblement identiques, fondées sur l'art. 62 al. 2 OOPA; celles-ci se rapportent à Swiss Steel Holding AG (anciennement Schmolz+Bickenbach AG) et à la dérogation à l'obligation de présenter une offre, au sens de l'art. 136 al. 1 let. e LIMF, accordée à BigPoint Holding AG et Martin Haefner par décision, du 6 décembre 2019, du comité des offres publiques d'acquisition et de la responsabilité de l'Etat de la FINMA. La Commission des OPA relève qu'elle ne communiquera pas publiquement sur les éventuelles étapes procédurales de cette affaire.

27 November 2020: The Swiss Takeover Board informs that as of 26 November 2020 it has received a total of 41 mostly identical notifications in accordance with art. 62 para. 2 TOO relating to Swiss Steel Holding AG (formerly Schmolz+Bickenbach AG) and to the decision of the Financial Market Supervisory Authority FINMA of 6 December 2019 that granted an exemption from the duty to make a public tender offer according to art. 136 para. 1 let. e FMIA in favor of BigPoint Holding AG and Martin Haefner. The Swiss Takeover Board points out that it will not publicly inform about potential procedural steps in this matter.
