Platzierung von EUR 150 Mio. Schuldscheindarlehen mit 5½ jähriger Laufzeit
Die Valora Holding AG hat per 30. Oktober 2013 erfolgreich ein Schuldscheindarlehen über EUR 150 Mio. am Kapitalmarkt platziert. Aufgrund der starken Nachfrage wurde die Transaktion deutlich überzeichnet. Das ursprünglich geplante Volumen von rund EUR 75 Mio. konnte verdoppelt und auf EUR 150 Mio. aufgestockt werden. Für die gezeichneten Tranchen konnten attraktive Konditionen am unteren Ende der Vermarktungsspanne fixiert werden.
Nach der im April 2013 bereits erfolgten Begebung einer Hybridfinanzierung (Perpetual Callable Subordinated Instrument) in der Höhe von CHF 120 Mio., ist die erfolgreiche Platzierung des Schuldscheindarlehens der zweite wichtige Schritt der langfristigen Finanzierungsstrategie von Valora. Die gesamten Erlöse des Schuldscheindarlehens werden, wie bereits die Einnahmen aus der Hybridfinanzierung, für die Ablösung des bestehenden Syndikatskredits (Anteil „Term Loans“) verwendet. Damit wurde das Ziel erreicht, die Bilanzstruktur zu stärken und die Investorenbasis weiter zu diversifizieren. Darüber hinaus wurde die finanzielle Flexibilität des Unternehmens erhöht sowie die Refinanzierungskosten und die Fälligkeitenstruktur der Finanzschulden optimiert.
Begleitet wurde die Transaktion von der Commerzbank Aktiengesellschaft sowie der Landesbank Baden-Württemberg. Die Platzierung fand bei Schweizer, deutschen wie auch internationalen Investoren grossen Anklang.

Placement of a EUR 150 million, 5 1/2 year Schuldschein issue
Valora Holding AG successfully placed a Schuldschein issue of EUR 150 million as of October 30, 2013. Due to strong market demand, the issue was significantly oversubscribed, thus making it possible to double the size of the placement from an originally planned EUR 75 million to EUR 150 million. The tranches placed with investors offered attractive terms at the lower end of the marketing range.
Following the CHF 120 million issue of hybrid perpetual callable subordinated instruments in April 2013, this successful new Schuldschein placement marks the second important step in Valora’s long-term financing strategy. As was the case with the earlier hybrid financing, the entire proceeds of this new issue will be directed towards replacing the term-loan portion of the existing syndicated credit loan. This enables Valora to achieve its goal of strengthening its balance-sheet metrics and diversifying its investor base. Moreover, it allows the company to enhance its financial flexibility, to lower its refinancing costs and to optimise its debt maturity profile.
The transaction was lead managed by Commerzbank Aktiengesellschaft and Landesbank Baden-Württemberg. The placement was well received by Swiss, German and international investors.
