Zurich startet den Verkauf ihrer Beteiligung an New China Life Insurance Company Ltd.

Zürich, 20. November 2013 – Zurich Insurance Group (Zurich) hat heute mitgeteilt, dass die Zürich Versicherungs-Gesellschaft AG (die Gesellschaft), eine 100-prozentige Tochtergesellschaft von Zurich, den Verkauf ihrer Beteiligung an New China Life Insurance Company Ltd. (NCI) lanciert hat. Die Beteiligung besteht aus 292‘500‘000 H-Aktien (das Aktienpaket) und entspricht 9,4 Prozent des gesamten ausgegebenen Aktienkapitals von NCI. Der Verkauf des Aktienpakets wird in Form eines Blockhandels an der Börse von Hong Kong durchgeführt.
Die Gesellschaft hat heute eine Vereinbarung mit einem Anleger als Ankerinvestor für den Verkauf von 152‘857‘800 H-Aktien getroffen, die insgesamt 52,3 Prozent des Aktienpakets ausmachen.
Darüber hinaus ist die Gesellschaft heute auch eine Platzierungs-Vereinbarung mit internationalen Investmentbanken eingegangen. Diese agieren als Konsortialführer (Bookrunners) und haben zugestimmt, für die verbleibenden H-Aktien des Aktienpakets über ein Bookbuilding-Verfahren weitere Anleger zu finden. Sie haben auch zugestimmt, diese verbleibenden Aktien zu einem Mindestpreis oder zu einem durch das Bookbuilding-Verfahren mit dem Einverständnis der Gesellschaft festgelegten höheren Preis zu zeichnen. Alle H-Aktien des Aktienpakets werden zum gleichen Preis verkauft.
Der Kauf und Verkauf des Aktienpakets im Rahmen der Ankerinvestor- und Platzierungs-Vereinbarungen sind gegenseitig voneinander abhängig und unterliegen üblichen Bedingungen. Unter der Voraussetzung, dass diese erfüllt werden, erfolgt der Vollzug voraussichtlich am 25. November 2013.
Zum jetzigen Zeitpunkt ist es jedoch ungewiss, ob die Gesellschaft und die Konsortialführer einem höheren Verkaufspreis als dem Mindestpreis zustimmen und alle dieser Transaktion zugrundeliegenden Bedingungen erfüllt werden. Zurich wird die Öffentlichkeit über relevante Entwicklungen zu gegebener Zeit orientieren.
