Stärkung des Landmaschinengeschäfts in Brasilien
Bucher Industries und die Eigentümer von Montana Indústria de Máquinas S/A („Montana“), ein führender Hersteller von selbstfahrenden Pflanzenschutzspritzen in Brasilien, einigten sich über Grundsätze zur Übernahme von Montana durch die Division Kuhn Group.
Das Familienunternehmen Montana, mit Hauptsitz in São José dos Pinhais bei Curitiba, Brasilien, ist ein führender Hersteller von grossen, selbstfahrenden Pflanzenschutzspritzen. Das Unternehmen ist insbesondere in Mato Grosso und anderen Staaten mit beutenden, landwirtschaftlichen Grossbetrieben gut vertreten und hält dort eine starke Marktposition. Vor kurzem nutzte Montana ihre Erfahrung auf dem Gebiet der selbstfahrenden Landmaschinen und schaffte den Eintritt in den neuen und schnellwachsenden Markt für selbstfahrende Düngerstreuer. 2013 beschäftigte Montana rund 600 Mitarbeitende und generierte einen Umsatz von rund BRL 225 Mio. Die Akquisition ist abhängig von der Einigung auf einen definitiven Übernahmevertrag sowie von gewissen Bedingungen und Genehmigungen. Der Vollzug der Transaktion wird im ersten Halbjahr des laufenden Jahrs erwartet.
Die Akquisition von Montana würde die aktuelle Produktpalette von Kuhn Group in Brasilien hervorragend ergänzen und Kuhn Group den Zugang zu Kunden im wichtigen und wachsenden Segment der Grossbetriebe ermöglichen. Mit der Kombination der aktuellen und zukünftigen Produktpalette von Kuhn und Montana wäre Kuhn Group ein noch attraktiverer Partner für das Händlernetz. Zudem würde die lokale Produktionsplattform in Argentinien den Zugang zu diesem Markt eröffnen und Kuhns Marktposition in Südamerika erheblich stärken. Montana könnte von der finanziellen Stärke des Bucher Konzerns profitieren und damit ihre Produkte und Dienstleistungen rascher entwickeln sowie das starke Händlernetz von Kuhn do Brasil und das breite Know-How und die Erfahrungen von Kuhn Group mit spezialisierten Landmaschinen nutzen.
Nach Vollzug der Transaktion soll Montana mit dem aktuellen Management und den Mitarbeitenden weitergeführt werden. Zudem ist beabsichtigt, dass der Verwaltungsratspräsident von Montana, Gilberto Zancopé, als Berater für Kuhn Group in Brasilien tätig und Aktionär von Bucher Industries AG werden wird.
Kuhn Group ist weltweit führender Hersteller von spezialisierten Landmaschinen für Bodenbearbeitung, Sätechnik, Düngung, Pflanzenschutz, Landschaftspflege, Futterernte und Fütterungstechnik. Produktionsstätten befinden sich in Frankreich, den Niederlanden, den USA und in Brasilien. Die Produkte werden auf allen fünf Kontinenten vertrieben. Im 2013 generierte die Division CHF 1 286 Mio. Strengthening agricultural machinery business in Brazil
Bucher Industries and the owners of Montana Indústria de Máquinas S/A (“Montana”), one of the leading self-propelled sprayer manufacturers in Brazil, signed a principal understanding for an acquisition of Montana by Bucher’s Kuhn Group division.
The privately owned company Montana with headquarters in São José dos Pinhais near Curitiba, Brazil, is a leading manufacturer of trailed and large self-propelled sprayers in Brazil. Montana is especially well represented in the important large scale commercial farming sector of Mato Grosso and other large states where Montana holds a strong market position. Recently Montana used its self-propelled expertise and entered the new and rapidly growing self-propelled fertilizer spreader market. Having around 600 employees Montana generated sales of approximately BRL 225 million in 2013. The acquisition is subject to signing a definitive transaction agreement as well as to certain actions and approvals. Closing is expected to take place during the first semester 2014.
An acquisition of Montana would not only provide Kuhn Group with the opportunity to complement its present product offering in Brazil, but also with the possibility to reach customers in the important and growing large scale commercial segment. The combined present and future product portfolio would increase Kuhn’s attractiveness towards the dealer network. Further it provides Kuhn Group access to Argentina with a local manufacturing platform and significantly reinforces the position of Kuhn Group in South America. Montana would profit from the financial strength of the Bucher Group, which would allow faster product and service development, from the strong dealership network of Kuhn do Brazil, and from the extensive know-how and experience of Kuhn Group in agricultural machinery.
Further to closing of the transaction Kuhn Group would continue to operate Montana with the current management and employees. It is planned that the Chairman of Montana, Gilberto Zancopé, would become special adviser of Kuhn Group in Brazil and a shareholder of Bucher Industries AG.
