J.P. Morgan Asset Management taking initial stake in Newron

Milan, Italy - January 31, 2014 – Newron Pharmaceuticals S.p.A. (“Newron”), a research and development company focused on novel CNS and pain therapies, announced that J.P. Morgan Asset Management has taken a 1.8% stake in the Company, subscribing to the 211,473 shares left over from the 2013 capital increase, by means of a private placement.

The subscription price was set at CHF 17.00 per share, representing a 2.7% premium to the closing price of Newron’s shares on January 24, 2014, of CHF 16.55. The proceeds will be used to further capitalise the Company and fund its pipeline development and clinical trials.

Stefan Weber, CEO, commented, “We are very pleased by the increasing interest in Newron from leading institutional investors, given the recent submission of the MAA for safinamide to the European Medicines Agency (EMA) and the work currently ongoing to complete the New Drug Application (NDA) submission to the US Food and Drug Administration (FDA). There is increasing interest in Newron’s promising pipeline of four Phase II compounds for orphan indications as well as its highly innovative add-on therapy for schizophrenia, currently in a Phase I trial.”

Closing of the transaction will be subject to customary Italian and Swiss regulatory requirements. The new shares will be listed and traded on the SIX Swiss Exchange under the same ISIN as the Company’s existing shares (ISIN: IT0004147952) on or about February 3, 2014.
