Dietlikon, 25. März 2014 – Die ordentliche Generalversammlung der Implenia AG hat allen Anträgen des Verwaltungsrats zugestimmt. Vor dem Hintergrund des starken Jahresergebnisses 2013, der soliden Finanzbasis und der positiven Aussichten für das laufende Jahr genehmigten die Aktionäre eine Erhöhung der Dividende auf CHF 1.60 pro Aktie (2013: CHF 1.40 pro Aktie). Die Auszahlung erfolgt einerseits aus Kapitaleinlagereserven und andererseits aus der Reduktion des Nennwerts. Wie in den Vorjahren erfolgt die Ausschüttung somit ohne Abzug der Verrechnungssteuer und ist für die meisten Privatpersonen steuerfrei.

 

Die Aktionäre folgten den Anträgen des Verwaltungsrats, die Statuten gemäss der am 1. Januar 2014 in Kraft getretenen Verordnung gegen übermässige Vergütungen bei börsenkotierten Aktiengesellschaften (VegüV) anzupassen. Verwaltungsratspräsident Markus Dennler sowie die Verwaltungsräte Hubert Achermann, Chantal Balet Emery, Calvin Grieder, Hans-Beat Gürtler, Patrick Hünerwadel und Sarah Springman wurden für die Amtsdauer von einem Jahr wiedergewählt. Die zur Wahl stehenden Mitglieder des Vergütungsausschusses Hubert Achermann, Calvin Grieder und Sarah Springman wurden je für eine Amtsdauer von einem Jahr bestätigt. Im Rahmen einer konsultativen Abstimmung haben die Aktionäre den Vergütungsbericht 2013 genehmigt, der u.a. den Gesamtbetrag der an die Mitglieder des Verwaltungsrats sowie des Group Executive Board bezahlten Vergütungen in der Berichtsperiode ausweist.

 

Mit Blick auf die Generalversammlung 2015 hat der Verwaltungsrat beschlossen, den Aktionären weitere Anpassungen der Statuten zu beantragen. Diese sehen vor, die maximal mögliche Anzahl von Mandaten für Verwaltungsräte auf fünfzehn (davon maximal fünf in börsenkotierten Firmen inklusive Implenia) bzw. für Mitglieder des Group Executive Board auf zehn Mandate (davon maximal ein Mandat in einer börsenkotierten Firma) zu beschränken sowie die Hürde für das Traktandierungsrecht der Aktionäre zu senken. Zusätzlich wird statutarisch eine Obergrenze für die Vergütungen neuer Mitglieder des Group Executive Board festgelegt.

 

Die Generalversammlung markiert den Abschluss eines starken Geschäftsjahrs 2013. Mit aktuell CHF 3‘687 Mio. sind die Auftragsbücher gut gefüllt und erlauben einen zuversichtlichen Ausblick ins laufende Jahr.

Dietlikon, le 25 mars 2014 – L’assemblée générale ordinaire d’Implenia SA a accepté toutes les propositions du Conseil d’administration. Eu égard au bon résultat de l’exercice 2013, à l’assise financière solide et aux perspectives positives pour l’exercice en cours, les actionnaires ont accepté la hausse du dividende à CHF 1,60 par action (2013: CHF 1,40 par action). Une partie de la distribution s’effectuera sur la réserve issue d’apports de capital et l’autre partie sous forme de réduction de la valeur nominale. Comme l’année précédente, le versement du dividende se fera donc sans déduction de l’impôt anticipé. Pour la plupart des personnes privées, il sera exonéré d’impôt.

 

Les actionnaires ont accepté la proposition du Conseil d’administration consistant à modifier les statuts en vertu de l’Ordonnance contre les rémunérations abusives dans les sociétés anonymes cotées en bourse (ORAb), entrée en vigueur le 1er janvier 2014. Le président du Conseil d’administration Markus Dennler, ainsi que ses membres Hubert Achermann, Chantal Balet Emery, Calvin Grieder, Hans-Beat Gürtler, Patrick Hünerwadel et Sarah Springman ont été réélus pour un nouveau mandat d’un an. Hubert Achermann, Calvin Grieder et Sarah Springman, membres du comité de rémunération candidats à leur réélection, ont été reconduits dans leur fonction pour une année supplémentaire. Dans le cadre d’un vote consultatif, les actionnaires ont approuvé le rapport de rémunération 2013, qui présente, entre autres, le montant total des rémunérations versées aux membres du Conseil d’administration et du Group Executive Board pendant l’exercice sous revue.

 

Dans la perspective de l’assemblée générale 2015, le Conseil d’administration a décidé de demander aux actionnaires d'approuver des adaptations supplémentaires des statuts. Ces modifications prévoient notamment de limiter à 15 le nombre maximum de mandats des membres du Conseil d’administration (dont au maximum cinq au sein d’entreprises cotées en Bourse, y compris Implenia) et à dix le nombre de mandats des membres du Group Executive Board (dont au maximum un mandat au sein d’une entreprise cotée en Bourse) et de limiter les obstacles concernant le droit des actionnaires pour l’inscription des points à l’ordre du jour. En outre, il est prévu, de manière statutaire, de fixer un plafond pour les rémunérations des nouveaux membres du Group Executive Board.

 

L’assemblée générale marque le point d’orgue de l’excellent exercice 2013. Les carnets de commandes, qui se montent actuellement à CHF 3‘687 millions, sont bien remplis, ce qui nous permet d’être optimistes quant aux perspectives de l’exercice 2014.

2014 General Meeting approves all proposals – Dividend increased to CHF 1.60 per share (+ 14.3%) | Shareholders approve changes to Articles of Association | Growing order book

Dietlikon, 25 March 2014 – The Annual General Meeting of Implenia Ltd. has approved all of the Board of Directors' proposals. Against a background of strong results for 2013, a solid financial basis and a positive outlook for the current year, shareholders agreed to increase the dividend to CHF 1.60 per share (2013: CHF 1.40 per share). The payment will be made partly from the capital contribution reserve and partly from a reduction in par value. As in previous years, this payment is therefore not subject to deduction of withholding tax and is tax-free for most private individuals.

 

Shareholders approved the Board of Directors' proposal to amend the Articles of Association in order to bring them into line with the Ordinance Against Excessive Pay at Publicly Listed Companies (Verordnung gegen übermässige Vergütungen bei börsenkotierten Aktiengesellschaften, VegüV), which came into effect on 1 January 2014. Chairman of the Board of Directors Markus Dennler as well as Board members Hubert Achermann, Chantal Balet Emery, Calvin Grieder, Hans-Beat Gürtler, Patrick Hünerwadel and Sarah Springman were re-elected for another one year term. The members of the Remuneration Committee – Hubert Achermann, Calvin Grieder and Sarah Springman – were each elected for another one-year term. Shareholders approved the 2013 Remuneration Report in a consultative vote. This report includes, amongst others, the overall sum paid to members of the Board of Directors and to the Group Executive Board during the period under review.

 

In view of the 2015 AGM, the Board of Directors has decided to propose further amendments to the Articles of Association. These would limit the maximum possible number of mandates for members of the Board of Directors to fifteen (of which no more than five at listed companies, including Implenia), and for members of the Group Executive Board to ten (no more than one at a listed company). In addition, the threshold for shareholders wanting to add items to the AGM’s agenda would be reduced, and an upper limit would be imposed on payments to new members of the Group Executive Board.

 

The AGM brought a strong financial year 2013 to its official close. The full order books – currently at CHF 3’687 million – allow the Implenia Group a confident outlook to the current year.
