Bobst Group erzielt eine wesentliche Verbesserung ihrer Ergebnisse

Die Bobst Group, ein weltweit führender schweizerischer Anbieter von Ausrüstungen und Dienstleistungen für die Verpackungsindustrie, erzielte im Geschäftsjahr 2013 einen Konzernumsatz von CHF 1.354 Milliarden, d. h. eine Steigerung um CHF 90 Millionen bzw. +7.1% im Vergleich zu 2012. Das Betriebsergebnis (EBIT) erreichte CHF 60.3 Millionen. gegenüber CHF 19.0 Millionen im Vorjahr. Der konsolidierte Reingewinn belief sich auf CHF 27.7 Millionen gegenüber einem Fehlbetrag von CHF -5.0 Millionen in 2012. Die wesentlichen Verbesserungen wurden durch starke Umsatzsteigerung, einen positiven Produktmix und die erfolgreiche Umsetzung des Transformationsprogramms der Gruppe erreicht. Das starke Betriebsergebnis (EBIT) in Kombination mit einer spürbaren Verminderung des Nettoumlaufvermögens mündeten in einem beträchtlichen Barmittelzufluss aus Betriebstätigkeiten in Höhe von CHF 83.2 Millionen. Auf diese Weise konnte die Unternehmensgruppe die Nettoverschuldung von CHF 190.4 Millionen für 2012 auf CHF 109.0 Millionen für 2013 reduzieren und die flüssigen Mittel um CHF 11.8 Millionen auf CHF 317.2 Millionen anwachsen lassen. Zum ersten Mal seit 2008 wird der Verwaltungsrat der Generalversammlung die Ausschüttung einer Dividende von CHF 0.75 pro Aktie vorschlagen. Der Verwaltungsrat schlägt zudem vor, das Aktienkapital um CHF 1'291'524.- herabzusetzen, und die entsprechende Anzahl der Namenaktien, welche von der Gesellschaft als Treasury Shares gehalten sind, zu vernichten.

 

Auftragseingang und Auftragsbestand 2013 begann mit einem höheren Auftragsbestand im Vergleich zum Jahresbeginn 2012. Die Auftragseingänge wiesen in den ersten sieben Monaten des Geschäftsjahrs einen Zuwachs aus, nahmen dann von August bis Oktober 2013 ab, um bis zum Jahresende wieder zuzunehmen.

Umsatz Der Konzernumsatz stieg im Gesamtjahr 2013 auf CHF 1.354 Milliarden, was einen Zuwachs um CHF 90 Millionen oder +7.1% gegenüber 2012 darstellt. Der Umsatz im 2. Halbjahr 2013 erreichte CHF 791 Millionen im Vergleich zu CHF 563 Millionen aus den ersten sechs Monaten des Geschäftsjahrs und CHF 731 Millionen aus dem 2. Halbjahr 2012. Alle drei Geschäftsbereiche und alle geografischen Weltregionen leisteten einen positiven Beitrag zur Umsatzsteigerung. Umsätze mit Sheet-fed-Produkten nahmen im Vergleich zum Vorjahr um 7.6% zu. Sowohl Produkte für die Faltschachtelindustrie als auch für die Wellpappenindustrie trugen zu dieser Verbesserung bei, was zu einem Jahresumsatz von CHF 639 Millionen führte. Umsätze mit Web-fed-Produkten verzeichneten einen Zuwachs um 8.9% und schlossen das Jahr 2013 mit einer Gesamtsumme von CHF 336 Millionen ab. Dieses hervorragende Ergebnis liegt dicht an der 2008 erreichten Rekordumsatzhöhe, und dies, obwohl die Wechselkurse 2008 vorteilhafter waren. Dienstleistungs- und Ersatzteilumsätze nahmen um 5.7% auf nun CHF 377 Millionen zu und zeigen damit die erfolgreiche Umsetzung der Servicestrategie des Konzerns.

Ergebnisse Die wesentlichen Verbesserungen, sowohl des Betriebs- als auch des Nettoergebnisses, konnten durch eine starke Umsatzsteigerung, einen positiven Produktmix und die erfolgreiche Umsetzung des Transformationsprogramms der Gruppe erreicht werden. Ohne Transformationskosten und den Einfluss von Einmaleffekten stieg das bereinigte operative Ergebnis (EBIT) von CHF 8.3 Millionen für 2012 auf ein bereinigtes operatives Ergebnis (EBIT) von CHF 72.6 Millionen für 2013.

Die Ergebnisse der Unternehmensgruppe wurden im Berichtsjahr durch Transformationskosten und Einmaleffekte beeinflusst.

 

Im Vergleich zur obigen negativen Auswirkung auf das Nettoergebnis in Höhe von CHF -9.1 Millionen war die Auswirkung der Einmaleffekte für 2012 positiv und belief sich auf CHF 10.7 Millionen im Betriebsergebnis (EBIT) und auf CHF 8.4 Millionen im Nettoergebnis.

Das Gruppentransformationsprogramm trug Ende 2013 mit CHF 161 Millionen zum Betriebsergebnis (EBIT) bei Zwischen Anfang 2010 und Ende 2012 generierte das Gruppentransformationsprogramm in seiner Phase 1 wiederkehrende Einsparungen in Höhe von CHF 85 Millionen. Zusätzliche, im Rahmen der Phase 2 des Gruppentransformationsprogramms im November 2011 gestartete Aktionen wurden erfolgreich umgesetzt. Die daraus resultierenden Rentabilitätsverbesserungen erbrachten bis Ende 2013 einen Ertrag von CHF 76 Millionen, der um CHF 16 Millionen höher ist als das ursprüngliche Ziel von CHF 60 Millionen.

Solide Bilanz Der erfolgreiche Geschäftsbetrieb sowie kontinuierliche Anstrengungen zur Verminderung des Nettoumlaufvermögens mündeten in einen beträchtlichen Barmittelzufluss aus Betriebstätigkeiten in Höhe von CHF 83.2 Millionen. Diese flüssigen Mittel wurden hauptsächlich für die Rückzahlung von im Juli 2013 fällig gewordenen Anleihen und zur Aufstockung des Barmittelpostens in der Bilanz zum 31.12.2013 um CHF 11.8 Millionen verwendet. Die Nettoverschuldung sank von CHF 190.4 Millionen in 2012 auf CHF 109.0 Millionen in 2013. Das konsolidierte Eigenkapital für 2013 verbesserte sich um CHF 97.9 Millionen und beläuft sich auf 33.6% im Verhältnis zur Bilanzsumme (27.3% für 2012). Die Verbesserung ist auf den Überschuss im Geschäftsjahr 2013 (CHF 26.2 Mio.) und weitgehend auf die Auswirkung von IAS 19R (CHF 73.4 Mio.) zurückzuführen.

Ausblick und Finanzziele 2014 wird das Geschäftsumfeld ähnlich unausgewogen und anspruchsvoll sein wie in 2013, Insbesondere in Europa ist eine Konsolidierung unter unseren Kunden und Wettbewerbern wahrscheinlich. Wir rechnen mit Gelegenheiten, um unsere Wettbewerbsvorteile wirksam einzusetzen und werden weiterhin die Früchte unserer Gruppentransformation in Form von Rentabilitätsverbesserung und Wertschöpfung ernten. Global gesehen gewinnt die Faltschachtelindustrie nach einer langen Rezessionsperiode an Stärke zurück. Die Wellpappenindustrie wird voraussichtlich stark und der Bereich für flexible Verpackungen stabil bleiben – dies unter Annahme weltweit positiver Wirtschaftsindikatoren. Regional gesehen werden Europa und Südamerika vorraussichtlich schwach bleiben. Nordamerika und Südostasien sollten ihre gute Konjunkturlagen beibehalten, während die Investitionsniveaus in Indien und AMEA (Asien, Mittlerer Osten und Afrika) von der lokalen politischen Vertrauensbildung und den Wechselkursen abhängen. In China wird sich die gute Konjunktur voraussichtlich fortsetzen, wenngleich gedämpft durch Überkapazitäten und Preiskämpfe. Die Investitionsstimmung bleibt volatil, aber unsere Absatzmärkte sind aktiv und unsere Produktpalette entspricht weitgehend der Kundennachfrage. Einige neue Produkte werden Mitte des Jahres 2014 eingeführt und sollen dafür sorgen, dass die Auftragsdynamik auch im letzten Quartal weiterhin hoch bleibt. Die bereinigten Ergebnisse 2013 demonstrieren die Robustheit der Strategie zur Transformation der Gruppe und das Rentabilitätsniveau 2014 wird sich im Einklang mit den für 2015 gesetzten Finanzzielen befinden. Rentabilitätssteigerung, Wertschöpfung und Sonderinvestitionen in Innovationen werden in diesem Jahr die wichtigsten Prioritäten sein.

Die Bobst Group bestätigt die am 12. Februar 2014 veröffentlichte Prognose, nach denen sie 2014 einen Umsatz zwischen CHF 1.250 und 1.335 Milliarden verwirklichen soll.

Die Bobst Group bestätigt ebenfalls die folgenden mittel- und langfristigen finanziellen Ziele: ein Umsatzvolumen von CHF 1,3 bis 1,4 Milliarden dank organischem Wachstum zu konstanten Wechselkursen, ein ROCE (Return on Capital Employed) von 9 bis 12% und ein Betriebsergebnis (EBIT) von mindestens 7%. Die Eigenkapitalquote sollte (ohne Berücksichtigung des Einflusses von IAS 19R) ungefähr 35% betragen und die Ausschüttungsquote zwischen 30 und 50% des Nettoergebnisses.

Les résultats de Bobst Group ont enregistré une nette amélioration

Bobst Group, leader mondial de la fourniture d’équipements et de services pour l’industrie de l’emballage basé en Suisse, a réalisé un chiffre d’affaires consolidé de CHF 1.354 milliard en 2013, soit une augmentation de CHF 90 millions ou +7.1% par rapport à 2012. Le résultat opérationnel (EBIT) a atteint CHF 60.3 millions contre CHF 19.0 millions en 2012. Le résultat net a atteint quant à lui CHF 27.7 millions contre CHF -5.0 millions en 2012. Ces améliorations significatives ont été rendues possibles grâce à une forte croissance du chiffre d’affaires, un mix produits favorable ainsi que par la mise en œuvre réussie du programme de transformation du Groupe. Le bon résultat opérationnel et un fonds de roulement net notablement réduit ont généré d’importantes entrées de trésorerie d’exploitation à hauteur de CHF 83.2 millions. Le Groupe a ainsi pu réduire son endettement net, de CHF 190.4 millions en 2012 à CHF 109.0 millions en 2013, tandis que les liquidités ont augmenté de CHF 11.8 millions, pour atteindre CHF 317.2 millions. Pour la première fois depuis 2008, le Conseil d’administration proposera le paiement d’un dividende de CHF 0.75 par action lors de l’Assemblée générale des actionnaires. Le Conseil d’administration proposera également de réduire le capital actions de la société de CHF 1'291'524.- par annulation du nombre correspondant d’actions nominatives, à savoir les actions propres détenues par la société.

 

Entrées et carnet de commandes L’exercice 2013 a débuté avec un meilleur carnet de commandes par rapport au début de l’exercice 2012. Les entrées de commandes ont connu une hausse pendant les sept premiers mois de l’exercice, un ralentissement entre août et octobre 2013 et une reprise à la hausse en fin d’exercice.

Chiffre d’affaires Le chiffre d’affaires consolidé pour l’exercice 2013 s’élève à CHF 1.354 milliard, soit une augmentation de CHF 90 millions ou +7.1% par rapport à 2012. Le chiffre d’affaires enregistré au second semestre 2013 a atteint CHF 791 millions contre CHF 563 millions au premier semestre 2013 et CHF 731 millions au second semestre 2012. Les trois Business Units et l’ensemble des régions du monde ont contribué positivement à la croissance du chiffre d’affaires. Le chiffre d’affaires des produits Sheet-fed a augmenté de 7.6% par rapport à 2012. Les produits destinés au secteur de la boîte pliante et ceux destinés au secteur du carton ondulé ont contribué à cette amélioration, avec un chiffre d’affaires de CHF 639 millions enregistré en 2013. Le chiffre d’affaires des produits Web-fed ont, pour leur part, augmenté de 8.9%, pour atteindre CHF 336 millions en 2013. Cet excellent résultat est très proche du record des ventes de 2008, bien que les taux de change étaient plus favorables cette année-là. Le chiffre d’affaires de Services et de pièces détachées a augmenté de 5.7% pour atteindre CHF 377 millions, illustrant ainsi la réussite de la mise en œuvre de la stratégie de service du Groupe.

Résultats Les améliorations significatives du résultat opérationnel et du résultat net ont été rendues possibles par une forte croissance du chiffre d’affaires, un mix produits favorable ainsi que par la mise en œuvre réussie du programme de transformation du Groupe. Sans tenir compte des coûts de transformation et de l’impact des événements non récurrents, le résultat opérationnel sous-jacent (EBIT) a progessé de CHF 8.3 millions en 2012 à un résultat opérationnel sous-jacent (EBIT) de CHF 72.6 millions en 2013.

Les résultats du Groupe pour l’exercice sous revue ont été négativement impactés par les coûts de transformation et les événements non récurrents.

 

En comparaison des CHF -9.1 millions susmentionnés d’effet net négatif sur le résultat net en 2013, l’impact net des événements non récurrents en 2012 avait été positif de CHF 10.7 millions au niveau du résultat opérationnel (EBIT) et de CHF 8.4 millions pour ce qui est du résultat net.

Le programme de transformation du Groupe a contribué au résultat opérationnel (EBIT) à hauteur de CHF 161 millions à fin 2013 Entre son lancement en janvier 2010 et fin 2012, la phase 1 du programme de transformation du Groupe a permis de réaliser CHF 85 millions d’économies récurrentes. Les initiatives supplémentaires lancées en novembre 2011 avec la phase 2 de la transformation du Groupe ont été mises en œuvre avec succès. Elles ont ainsi généré CHF 76 millions en termes d’amélioration de la rentabilité à fin 2013, soit CHF 16 millions au-delà de l’objectif initial de CHF 60 millions.

Un bilan solide La réussite commerciale et la poursuite des efforts pour réduire le fonds de roulement net ont généré d’importantes entrées de trésorerie d’exploitation à hauteur de CHF 83.2 millions. La liquidité a principalement servi à rembourser l’emprunt obligataire arrivé à échéance en juillet 2013 et à augmenter le niveau des liquidités au bilan de CHF 11.8 millions. La dette nette a diminué, passant de CHF 190.4 millions en 2012 à CHF 109.0 millions en 2013. Les fonds propres consolidés des actionnaires ont augmenté de CHF 97.9 millions en 2013, pour atteindre 33.6% du total du bilan (27.3% en 2012). Cette amélioration est due au résultat net positif enregistré pour 2013 (CHF 26.2 millions) et, dans une plus large mesure, à l’impact de la norme IAS 19R (CHF 73.4 millions).

Perspectives et objectifs financiers En 2014, l’environnement économique sera comparable à celui de 2013, et donc déséquilibré et plein de défis. Il est probable que nous assistions à un phénomène de consolidation chez nos clients et nos concurrents, particulièrement en Europe. Nous pensons pouvoir tirer parti, dans ce contexte, de nos avantages concurrentiels et nous continuerons à engranger les fruits du programme de transformation du Groupe en termes d’amélioration de rentabilité et de création de valeur. D’après les indicateurs économiques positifs à l’échelle mondiale, au niveau global, le secteur de la boîte pliante est en reprise après une longue récession, celui du carton ondulé devrait quant à lui rester robuste et celui de l’emballage flexible stable. Géographiquement, l’Europe et l’Amérique du Sud resteront probablement encore fragiles; l’Amérique du Nord et le Sud-Est asiatique conserveront de bons niveaux d’activité, tandis que les niveaux d’investissement en Inde et dans la région AMEA seront tributaires de la confiance politique au niveau local et des taux de change. La Chine devrait conserver un bon niveau d’activité, tempéré toutefois par une surcapacité croissante et une guerre des prix. En matière d’investissements, le climat reste instable, mais nos marchés sont actifs et notre gamme de produits satisfait dans une large mesure les demandes de nos clients. De nouveaux produits seront lancés vers la mi-année 2014 afin de soutenir l’élan des commandes au dernier trimestre. Les résultats sous-jacents de 2013 attestent de la solidité de la stratégie de transformation du Groupe et le niveau de rentabilité en 2014 sera en phase avec nos objectifs financiers pour 2015. L’amélioration de la rentabilité, la création de valeur et les investissements spéciaux dans l’innovation seront au cœur de nos priorités cette année.

Bobst Group confirme l’objectif du 12 février 2014 selon lequel le Groupe devrait atteindre un chiffre d’affaires compris entre CHF 1.250 et 1.335 milliard en 2014.

Bobst Group confirme, par ailleurs, les objectifs financiers fixés à moyen et long terme suivants : chiffre d’affaires de CHF 1.3-1.4 milliard atteint par croissance organique et à taux de change constant ; une rentabilité des capitaux investis (ROCE) de 9-12% ; et un résultat opérationnel (EBIT) d’au moins 7%. Le ratio des fonds propres devrait se situer autour de 35% (hors impact de la norme IAS 19R) et le ratio de distribution des dividendes entre 30-50% du bénéfice net consolidé.

Bobst Group achieves a significant improvement of its results

Bobst Group, the Swiss-based worldwide leading supplier of equipment and services to the packaging industry, achieved consolidated sales of CHF 1.354 billion in 2013, an increase of CHF 90 million or +7.1% compared to 2012. The operating result (EBIT) reached CHF 60.3 million compared to an operating result of CHF 19.0 million in the previous year. The net result reached CHF 27.7 million compared to CHF -5.0 million in 2012. The significant improvements were achieved due to a strong growth in sales, a favorable product mix and due to the successful implementation of the Group transformation program. The strong operating results (EBIT) together with a notable reduction in net working capital, resulted in a significant cash inflow from operating activities of CHF 83.2 million. This enabled the Group to reduce net debt from CHF 190.4 million in 2012 to CHF 109.0 million in 2013 and the cash position increased by CHF 11.8 million to CHF 317.2 million. For the first time since 2008, the Board of Directors will propose the payment of a dividend of CHF 0.75 per share to the Annual General Meeting of Shareholders. The Board of Directors will also propose to reduce the share capital of the company by CHF 1’291’524.- by way of cancellation of the corresponding number of registered shares, namely the treasury shares held by the company.

 

Order Entries and Backlog 2013 started with an improved backlog of orders compared to the beginning of 2012. Order entries showed an increase for the first seven months of the year, slowed down from August to October 2013 and increased again at year end.

Sales Consolidated sales for full-year 2013 amounted to CHF 1.354 billion, an increase of CHF 90 million or +7.1% compared to 2012. Sales in the second half of 2013 reached CHF 791 million compared with CHF 563 million in the first six months of the year, and to CHF 731 million in the second semester 2012. All three Business Units and all geographical regions of the world had a positive contribution to the sales growth. Sales of Sheet-fed products increased by 7.6% compared to the previous year. Products for the folding carton industry as well as products for the corrugated equipment industry contributed to this improvement leading to a turnover of CHF 639 million for the year. Sales of Web-fed products increased by 8.9% and achieved CHF 336 million for the year 2013. This excellent result is very close to the all-time-high achieved in 2008, although exchange rates were more favorable in 2008. Sales of Services and spare parts increased by 5.7% to now CHF 377 million, demonstrating the successful implementation of the Group’s service strategy.

Results The significant improvements of both operating result and net result were achieved due to a strong growth in sales, a favorable product mix and due to the successful implementation of the Group transformation program. Without transformation costs and the influence of one-time events, the underlying operating result (EBIT) increased from CHF 8.3 million in 2012 to an underlying operating result (EBIT) of CHF 72.6 million in 2013.

The Group’s results for the reporting year were negatively influenced by transformation costs and one-time events.

 

In comparison to the above net negative impact on Net Result of CHF -9.1 million, in 2012, the net impact of one-time events was positive and amounted to CHF 10.7 million at the operating result (EBIT) level and to CHF 8.4 million at the net result level.

Group transformation program contributed CHF 161 million to operating result (EBIT) by end 2013 Between its launch in January 2010 and the end of 2012, the Group transformation program phase 1 generated CHF 85 million of recurring savings. The additional actions launched in November 2011 with the Group transformation phase 2 were implemented successfully and generated CHF 76 million of profitability improvements by the end of 2013, which is CHF 16 million more than the initial target of CHF 60 million.

Solid balance sheet The successful business operations, as well as continued efforts to reduce net working capital, resulted in a significant cash inflow from operating activities of CHF 83.2 million. This cash has been used mainly for the repayment of the bonds which matured in July 2013 and to increase the cash position by CHF 11.8 million in the year-end balance sheet. Net debt reduced from CHF 190.4 million in 2012 to CHF 109.0 million in 2013. The consolidated shareholders’ equity for 2013 improved by CHF 97.9 million and amounts to 33.6% in relation to the total balance sheet (27.3% in 2012). The improvement is due to the positive net result of the year 2013 (CHF 26.2 million) and to a large extent due to the impact of IAS 19R (CHF 73.4 million).

Outlook and financial targets In 2014 the business environment will be similar to 2013, unbalanced and challenging; with consolidation likely to occur among both our customers and competitors, particularly in Europe. We expect to have opportunities to leverage our competitive advantages and we will continue to reap the profitability improvement and value creation benefits of our Group transformation. On a global level the folding carton industry is regaining strength after a long period of recession, corrugated is expected to remain strong and flexible packaging will remain stable – based on positive economic indicators worldwide. Regionally, Europe and South America are likely to remain fragile, North America and SEA are expected to maintain good levels of activity, while investment levels in India and AMEA will depend on local political confidence and exchange rates. China is expected to continue its good level of activity although tempered by increasing overcapacity and price wars. The investment mood remains volatile, but our markets are active and our product portfolio responds to a large extent to our customers’ demands. Some new products will be launched around mid-year 2014, keeping up the bookings momentum for the last quarter. The underlying 2013 results demonstrate the robustness of the Group transformation strategy and 2014 profitability level will be in line with the Group financial targets set for 2015. Profitability increase, value creation and special investments in innovations will be the top priorities this year.

Bobst Group confirms the guidance published 12 February 2014 that it should reach sales of CHF 1.250 to 1.335 billion in 2014.

Bobst Group also confirms the following mid- to long-term financial targets: sales of CHF 1.3–1.4 billion due to organic growth at constant exchange rates; a return on capital employed (ROCE) of 9–12%; and an operating result (EBIT) of at least 7%. The equity ratio should be around 35% (excluding the impact of IAS 19R) and the dividend payout ratio between 30–50% of consolidated profit.
