Erster Handelstag der Aktien an der SIX Swiss Exchange für den 7. Mai 2014 geplant
Die SFS Group lanciert den Börsengang mit der Veröffentlichung des Emissions- und Kotierungsprospekts und dem Beginn des Bookbuildings. Die Preisspanne für die angebotenen Aktien mit einem Nominalwert von je CHF 0.10 wurde auf CHF 57 bis 69 festgelegt, was nach Neugeldzufluss einer Marktkapitalisierung des Unternehmens von CHF 2,138 bis 2,588 Mia. entspricht.
Im Rahmen des Börsengangs ist geplant, 5'057'500 neu auszugebende Aktien und 4'951'410 bestehende Aktien mehrheitlich aus den Beständen der Gründerfamilien anzubieten (das "Basisangebot"). Darüber hinaus haben einzelne Mitglieder der Gründerfamilien den Konsortialbanken eine Mehrzuteilungsoption von bis zu 992'420 Aktien gewährt, welche bis 30 Kalendertage nach dem ersten Handelstag ausgeübt werden kann.
Die 5'057'500 neu auszugebenden Aktien und die von den verkaufenden Aktionären angebotenen 4'951'410 Aktien entsprechen 26.7% des ausgegebenen Aktienkapitals nach dem Börsengang und vor Ausübung der Mehrzuteilungsoption. Die Mehrzuteilungsoption von bis zu 992'420 Aktien entspricht ca. 10% des Basisangebots. Die verkaufenden Familienaktionäre sowie die Mitglieder des Verwaltungsrats und der Geschäftsleitung haben eine Stillhaltevereinbarung ("Lock-up") von 12 Monaten und SFS hat einen Lock-up von 6 Monaten ab dem ersten Handelstag vereinbart, vorbehältlich üblicher Ausnahmen. Gewisse verkaufende Familienaktionäre haben einen längeren Lock-up von 24 Monaten abgegeben.
Der Börsengang der SFS Group besteht aus einem öffentlichen Angebot an Investoren in der Schweiz, Privatplatzierungen in bestimmten Jurisdiktionen ausserhalb der Schweiz und den Vereinigten Staaten von Amerika, jeweils gestützt auf Regulation S des US Securities Act und die Ausnahmen der EU Prospektrichtlinie.
Durch die 5'057'500 neu auszugebenden Aktien fliessen dem Unternehmen neue Mittel in der Höhe von brutto CHF 288 bis 349 Mio. zu. Die SFS Group beabsichtigt, den Nettoerlös insbesondere für die Finanzierung zukünftiger Wachstumsprojekte, für die Stärkung der globalen Präsenz, für Akquisitionen sowie für generelle Unternehmenszwecke zu verwenden. Nach erfolgtem Börsengang und unter der Annahme einer vollständigen Ausübung der Mehrzuteilungsoption halten die Gründerfamilien als langfristig orientierte Aktionäre 55% sowie die Mitglieder der Geschäftsleitung und des Verwaltungsrats 2.4% der Aktien.
Das Bookbuilding beginnt am 23. April 2014 und endet voraussichtlich am 6. Mai 2014. Die Ankündigung des endgültigen Angebotspreises erfolgt voraussichtlich am 7. Mai 2014. Die Kotierung der Aktien und die Aufnahme des Handels der SFS Aktien an der SIX Swiss Exchange sind für den 7. Mai 2014 geplant. Credit Suisse und UBS Investment Bank agieren im Zusammenhang mit dem IPO als Joint Global Coordinators und Joint Bookrunners sowie Morgan Stanley als weiterer Joint Bookrunner. Zudem gehören dem Bankensyndikat Bank am Bellevue, Bank Vontobel AG sowie die Zürcher Kantonalbank als Co-Lead Managers und die St.Galler Kantonalbank AG als Selling Agent an.
