Forbo-Aktionäre genehmigen alle Anträge des Verwaltungsrats

Die Aktionäre der Forbo Holding AG genehmigten an ihrer 86. ordentlichen Generalversammlung in Zug sämtliche Anträge des Verwaltungsrats mit deutlicher Mehrheit. Die Zahlung der verrechnungssteuerfreien Dividende aus der Kapitaleinlagereserve von CHF 14 pro Aktie wird ab 5. Mai 2014 erfolgen.

An der Generalversammlung der Forbo Holding AG haben heute 119 Aktionäre teilgenommen; insgesamt waren 1 487 471 Namenaktien oder 66,11 Prozent des Aktienkapitals vertreten.

Die Aktionäre genehmigten alle Anträge des Verwaltungsrats mit deutlicher Mehrheit. Sie nahmen den Jahresbericht, die Jahresrechnung, die Konzernrechnung sowie den Entschädigungsbericht für das Geschäftsjahr 2013 an und erteilten den verantwortlichen Organen Décharge. Des Weiteren stimmten sie der vorgeschlagenen Gewinnausschüttung in Form einer verrechnungssteuerfreien Dividende aus der Kapitaleinlagereserve in der Höhe von CHF 14 pro Aktie zu.

Sie genehmigten die Kapitalherabsetzung mit der entsprechenden Statutenänderung im Rahmen des von der Generalversammlung am 5. November 2012 genehmigten Aktienrückkaufprogramms, welches damit beendet ist. Gleichzeitig wurde dem neuen Antrag, eigene Aktien im Umfang von maximal 10 Prozent des Aktienkapitals über einen Zeitraum von drei Jahren zwecks Kapitalherabsetzung zurückzukaufen, zugestimmt.

Aufgrund der notwendigen Anpassungen an die Verordnung gegen übermässige Vergütungen bei börsenkotierten Aktiengesellschaften (VegüV) wurde dieses Jahr über verschiedene Statutenänderungen abgestimmt. Die Generalversammlung stimmte sämtlichen Anträgen des Verwaltungsrats zu.

Wie bereits vor einem Jahr angekündigt, hat sich Dr. Albert Gnägi, der seit neun Jahren den Verwaltungsrat präsidierte, infolge Erreichens der reglementarischen Altersgrenze der Generalversammlung nicht mehr zur Wiederwahl gestellt.

Er hinterlässt ein schuldenfreies, erfolgreiches und gut positioniertes Unternehmen. Während seiner Amtszeit hat sich der Wert von Forbo verfünffacht.

Der Verwaltungsrat dankt Dr. Albert Gnägi sehr für sein grosses und erfolgreiches Engagement.

This E. Schneider, seit zehn Jahren Delegierter des Verwaltungsrats und CEO, wurde mit grosser Mehrheit als exekutiver Präsident des Verwaltungsrats gewählt.

Die bisherigen Verwaltungsräte wurden alle mit deutlicher Mehrheit wiedergewählt. Es sind dies Dr. Peter Altorfer, Dr. Reto Müller, Michael Pieper und Vincent Studer. Neu in den Verwaltungsrat wurde Claudia Coninx-Kaczynski ebenfalls mit deutlicher Mehrheit gewählt. In den Vergütungsausschuss wurden Dr. Peter Altorfer, Claudia Coninx-Kaczynski und Michael Pieper gewählt.

Schliesslich haben die Aktionäre das Mandat der PricewaterhouseCoopers AG als Revisionsstelle um ein weiteres Jahr verlängert. René Peyer wurde zudem als unabhängiger Stimmrechtsvertreter gewählt.

Forbo shareholders approve all proposals from the Board of Directors

The shareholders of Forbo Holding Ltd approved all of the proposals submitted by the Board of Directors to the 86th Ordinary General Meeting by a wide majority. The payment from the capital contribution reserve of a dividend of CHF 14 per share will take place as of May 5, 2014. The dividend is exempt from withholding tax.

119 shareholders attended today's Ordinary General Meeting of Forbo Holding Ltd; a total of 1,487,471 registered shares were represented, or 66.11 percent of the share capital issued.

The shareholders approved all proposals from the Board of Directors by a wide majority. They accepted the Annual Report, the Financial Statements, the Consolidated Financial Statements and the Remuneration Report for the financial year 2013, while also granting discharge to the responsible governing bodies. In addition, they approved the proposal to distribute a withholding taxexempt dividend from the capital contribution reserve of CHF 14 per share.

They approved the capital reduction and corresponding amendment to the Articles of Association in connection with the share buyback program approved at the General Meeting of November 5, 2012 which is now completed. They also approved the new proposal to buy back own shares up to the maximum of 10% of the share capital over a period of three years for the purpose of a capital reduction.

Due to the necessary amendments to the Ordinance against Excessive Remuneration in Listed Public Companies (OaER), several amendments of the Articles of Association were voted on this year. The Ordinary General Meeting approved all the proposals put forward by the Board of Directors.

As announced a year ago, Dr. Albert Gnägi will, after nine years of chairing the Board of Directors, not stand for reelection as he has reached the regulatory retirement age.

He is leaving behind a company that is free of debt, successful and well positioned. The value of Forbo increased fivefold during his tenure.

The Board of Directors hereby thanks Dr. Albert Gnägi for his great and successful commitment.

This E. Schneider, who has acted as Delegate of the Board of Directors and CEO for ten years, was elected as Executive Chairman of the Board of Directors by a clear majority.

The previous members of the Board of Directors were all reelected by a wide majority: Dr. Peter Altorfer, Dr. Reto Müller, Michael Pieper and Vincent Studer. As a new member of the Board of Directors, Claudia Coninx-Kaczynski was also elected by a wide majority. Dr. Peter Altorfer, Claudia Coninx-Kaczynski and Michael Pieper were elected to the Remuneration Committee.

The shareholders also extended the mandate of PricewaterhouseCoopers AG as Statutory Auditor for an additional year. René Peyer was elected as independent proxy.
