ams Aktiensplit im Verhältnis 1:5 heute wirksam; neue ISIN AT0000A18XM4, neue Valorennummer 24’924’656

Unterpremstätten, Österreich (24. Juli 2014) - ams (SIX: AMS), ein weltweit führender Anbieter von hochwertigen Sensor- und analogen IC-Lösungen, gibt bekannt, dass der von der Hauptversammlung am 22. Mai 2014 beschlossene Aktiensplit im Verhältnis 1:5 ab heute wirksam ist. Nach dem Split wird die ams-Aktie mit der neuen ISIN AT0000A18XM4 und der neuen Valorennummer 24’924'656 gehandelt. Das Tickersymbol AMS bleibt unverändert.

Gemäß österreichischem Recht muss der anteilige Betrag am Grundkapital bei nennwertlosen Aktien mindestens EUR 1,00 je Aktie ausmachen. Daher wurde der Aktiensplit in zwei Schritten durchgeführt: In einem ersten Schritt wurde das Aktienkapital von ams durch die Umwandlung von Gewinnvorträgen und Rücklagen auf EUR 72.947.355 erhöht, in einem zweiten Schritt wurden durch einen Split im Verhältnis 1:5 72.947.355 auf Inhaber lautende, nennwertlose Stückaktien geschaffen.

ams 5-for-1 share split effective today; new ISIN AT0000A18XM4, new Swiss Security Number 24’924’656

Unterpremstaetten, Austria (24 July 2014) - ams (SIX: AMS), a leading worldwide manufacturer of high performance sensor and analog solutions, announces that the company’s 5-for-1 share split, resolved in the Annual General Meeting on 22 May 2014, has become effective today. Following the split, the ams share trades under the new ISIN AT0000A18XM4 and new Swiss Security Number 24’924’656. The ticker symbol AMS remains unchanged.

According to Austrian law, the notional value per share of no par value shares must be at least EUR 1.00 per share. Therefore the share split was carried out in two steps: In a first step, ams’ share capital was increased to EUR 72,947,355 through conversion of retained earnings and reserves, and in a second step, 72’947’355 no par value bearer shares were created by means of a
5-for-1 split.
