Nach Vorliegen des definitiven Zwischenergebnisses sind die Bedingungen 2.7 Bst. a (Beteiligung von mindestens zwei Dritteln) und Bst. b des Angebotsprospekts erfüllt. Alle anderen Bedingungen 2.7 Bst. c bis k gelten bis zum Vollzug weiter, so beispielsweise die Genehmigung durch die Wettbewerbskommission. Über die Erfüllung dieser Bedingungen wird Swisscom später informieren. Das Angebot ist somit unter Vorbehalt dieser bis zum Vollzug geltenden Bedingungen zustande gekommen.
CEO Urs Schaeppi sieht weiteres Potenzial im Geschäft von local.ch
Zur geplanten Übernahme von PubliGroupe sagt der CEO von Swisscom, Urs Schaeppi: „Wir sind zuversichtlich, dass die Übernahme bald erfolgen kann. Wir haben den Verzeichnisdienst unter der Marke local.ch gemeinsam mit PubliGroupe aufgebaut, sehen weiteres Potenzial in diesem Geschäft und wollen die Erfolgsgeschichte fortschreiben.“ Das Gesamtangebot von Swisscom für alle PubliGroupe-Aktien beläuft sich auf rund CHF 475 Mio. Die Übernahme zielt hauptsächlich auf den Verzeichnisdienst local.ch, der bereits zur Hälfte Swisscom gehört. Nach dem Kauf will Swisscom die Medienbeteiligungen von PubliGroupe veräussern, für die übrigen Beteiligungen werden alle Optionen geprüft.
Aktionäre können weitere Aktien andienen
Am 12. August beginnt die Nachfrist von zehn Börsentagen zur nachträglichen Annahme des Kaufangebots und dauert bis zum 25. August 2014. Der Angebotsprospekt, das definitive Zwischenergebnis nach der Verordnung der Übernahmekommission (UEV) und die weiteren Publikationen zum Angebot können in deutscher und französischer Sprache kostenlos unter www.public-takeover.ch heruntergeladen werden. Es gelten die dort angegebenen Angebotsrestriktionen.

Le résultat intermédiaire étant connu, les conditions 2.7 let. a (deux tiers des voix au moins) et let. b du prospectus de l’offre sont remplies. Toutes les autres conditions du point 2.7 let. c à k restent applicables jusqu’à la clôture, notamment l’autorisation de la Commission de la concurrence. Swisscom informera ultérieurement au sujet de la satisfaction des conditions. L’offre est donc concrétisée, sous réserve de la satisfaction des conditions applicables.
Le CEO Urs Schaeppi table sur un potentiel supplémentaire dans le cadre des activités de local.ch
Au sujet de la reprise de PubliGroupe, le CEO Urs Schaeppi précise: «Nous sommes confiants dans la reprise prochaine de l’entreprise. Nous avons développé le service d’annuaire sous la marque local.ch en partenariat avec PubliGroupe et croyons que ces activités offrent un potentiel supplémentaire; nous voulons donc participer à l’écriture d’une nouvelle page de leur succès.» L’offre globale de Swisscom pour les actions PubliGroupe s’élève à quelque CHF 475 millions. La reprise vise principalement le service d’annuaire local.ch dont Swisscom détient déjà la moitié des parts. Après le rachat, Swisscom se séparera des participations dans les médias de PubliGroupe et toutes les options envisageables seront examinées pour les autres participations.
Les actionnaires peuvent proposer des actions supplémentaires
Le délai supplémentaire de dix jours boursiers pour accepter l’offre d’achat commencera à courir le 12 août 2014 et s’achèvera le 25 août 2014. Le prospectus de l’offre, le résultat intermédiaire définitif conformément à l’ordonnance de la Commission des OPA sur les offres publiques d’achat (OOPA) et les autres publications y relatives peuvent être téléchargés gratuitement en français et en allemand à l’adresse www.public-takeover.ch. Les dispositions qui y sont mentionnées s’appliquent.

Il risultato intermedio definitivo conferma che le condizioni di cui al punto 2.7 lett. a (partecipazione di almeno due terzi) e lett. b del prospetto dell’offerta sono adempiute. Tutte le altre condizioni di cui al punto 2.7 lett. c-k, come ad esempio l’approvazione da parte della Commissione della concorrenza, continuano a sussistere fino al perfezionamento della transazione. Swisscom informerà successivamente in merito all’adempimento di tali condizioni. Con riserva di dette condizioni valide fino al perfezionamento, l’offerta è pertanto andata a buon fine.

Riguardo al previsto rilevamento di PubliGroupe, il CEO di Swisscom Urs Schaeppi afferma: «Siamo fiduciosi che l’acquisizione potrà avvenire a breve. Abbiamo costituito il servizio elenchi sotto il marchio local.ch assieme a PubliGroupe, riteniamo che questo settore offra ulteriore potenziale e vogliamo aggiungere altri capitoli a questa storia di successi.» L’offerta complessiva di Swisscom per tutte le azioni di PubliGroupe ammonta a circa 475 milioni di CHF. L’acquisizione punta principalmente al servizio elenchi local.ch, la cui metà appartiene già a Swisscom. Dopo l’acquisto, Swisscom intende vendere le partecipazioni che PubliGroupe detiene nel campo dei media; per le altre partecipazioni verranno prese in esame tutte le opzioni.
Gli azionisti possono offrire ulteriori titoli
Il 12 agosto 2014 inizia un periodo supplementare di dieci giorni di borsa per l’accettazione successiva dell’offerta di acquisto, il quale terminerà il 25 agosto 2014. Il prospetto dell’offerta, il risultato intermedio definitivo in base all’Ordinanza commissionale OPA (O-COPA) e le altre pubblicazioni sull’offerta possono essere scaricati gratuitamente in lingua francese e tedesca dal sito www.public-takeover.ch. Vengono applicate le restrizioni dell’offerta ivi indicate.

The final interim results now available indicate that the conditions of Section 2.7 letters (a), (a stake of at least two-thirds), and (b) of the offer prospectus are met. All other conditions – letters (c) to (k) of Section 2.7 – shall continue to apply until the tender is completed; for example, approval by the Competition Commission. Swisscom will provide information on the fulfilment of these conditions at a later point in time. The offer thus stands, subject to these conditions, which are applicable until completion of the tender.
CEO Urs Schaeppi sees additional potential in local.ch's business
Urs Schaeppi, Swisscom's CEO, has stated the following as regards the planned takeover of PubliGroupe: "We are confident that the acquisition will soon take place. Together with PubliGroupe, we established the directory service with the brand local.ch. We see additional potential in this business and want to write new chapters in its story of success." The total offer made by Swisscom for all PubliGroupe shares is about CHF 475 million. The main aim of the acquisition is to own the local.ch directory service, half of which already belongs to Swisscom. After the purchase, Swisscom intends to sell off PubliGroupe's media participations, while all options are being examined with regard to the other participations.
Shareholders allowed to tender further shares
The offer period will be extended by ten trading days for acceptance of the takeover bid, starting on 12 August and running until 25 August 2014. The offer document, the definitive interim results in accordance with the Swiss Takeover Board's Ordinance and the other publications regarding the offer can be downloaded free of charge in German and French at www.public-takeover.ch. The restrictions on the offer listed there shall apply.
