Termination of the share buyback programme on the second trading line and issuance of tradable put options
The Board of Directors of Castle Alternative Invest Ltd. has today agreed to the early termination, on 16 September 2014 (last trading day), of the share buyback programme through a second trading line on the SIX Swiss Exchange, which started on 6 June 2013 and was prolonged until 28 November 2014. At the termination of the programme, the maximum number of shares approved by shareholders at the AGM held on 14 May 2013 of 1,327,128 registered shares is expected to have been purchased. Of these, 911,000 were already cancelled on 12 August 2014 and it is intended to seek approval for the cancellation of the remainder at the Annual General Meeting in 2015.
Furthermore, the Board of Directors has decided to issue put options tradable on the SIX Swiss Exchange. Each shareholder will be granted, free of charge, 1 put option for each registered share held. Every 20 put options will entitle shareholders to tender one registered share with a nominal value of CHF 5 at the exercise price of CHF 16.50. This represents a premium of approximately 15.38% to today's closing price of the registered share. The put options will be traded from 17 September 2014 to and including 30 September 2014. The put options must be exercised at the latest by 11.00 a.m. CET on 1 October 2014 (European style). The net purchase price (exercise price minus 35% withholding tax calculated on the difference between the exercise price and the nominal value) will be paid on 6 October 2014.
As a result of the share buyback by issuing put options, Castle Alternative Invest Ltd. plans to repurchase up to 589'104 registered shares (4.83% of the outstanding share capital). It is intended to seek approval for the cancellation of all registered shares repurchased at the Annual General Meeting in 2015.
When considering whether to sell the put options on the stock exchange or to use them to tender registered shares, shareholders are advised to follow the instructions and recommendations of their custodian bank or other professional advisers.
