Nationale Suisse-Aktionäre schaffen die Voraussetzung für Zusammenschluss mit Helvetia Dienstag, 30. September 2014 - 06:04

An der ausserordentlichen Generalversammlung der Schweizerischen National-Versicherungs-Gesellschaft AG haben die Aktionäre alle Anträge des Verwaltungsrates gutgeheissen und damit Statutenänderungen, Neuwahlen in den Verwaltungsrat und Wahlen in das Nomination and Compensation Committee vorgenommen. Die ausserordentliche Generalversammlung stand im Zusammenhang mit dem Übernahmeangebot von Helvetia. Die Statutenänderungen und Wahlen erfolgten daher aufschiebend bedingt durch den Vollzug des Angebots von Helvetia.
An der heutigen ausserordentlichen Generalversammlung der Schweizerischen National-Versicherungs-Gesellschaft AG in Basel nahmen 103 Aktionäre teil, die 1 283 940 Namenaktien vertraten. Insgesamt waren unter Einbezug der in Vollmacht vertretenen Aktien 6 575 221 Stimmen vertreten. Dies entspricht 71.45 % der stimmberechtigten Aktien und 29.82 % des gesamten Aktienkapitals. Die ausserordentliche Generalversammlung ist aufgrund dem von Helvetia gemachten Übernahmeangebot einberufen worden. Daher treten alle von den Aktionären getroffenen Entscheide nur in Kraft, wenn das Angebot vollzogen wird.
Aufhebung der Eintragungsbeschränkungen und der Beschränkung der Stimmrechtsvertretung
Die Aktionäre genehmigten die vom Verwaltungsrat beantragten Statutenänderungen betreffend Aufhebung der Eintragungsbeschränkungen und der Beschränkung der Stimmrechtsvertretung. Bisher hatten Aktionäre ein Stimmrecht für maximal 5 Prozent des gesamten im Handelsregister eingetragenen Aktienkapitals und ein Aktionär durfte nicht mehr als ein Fünftel der an der Generalversammlung vertretenen Stimmen auf sich vereinigen.
Neuwahlen in den Verwaltungsrat und in das Nomination and Compensation Committee
Die Aktionäre wählten neu Erich Walser, Stefan Loacker und Dr. Philipp Gmür in den Verwaltungsrat von Nationale Suisse. Die bisherigen Mitglieder Dr. Andreas von Planta und Dr. Balz Hösly verbleiben im Verwaltungsrat von Nationale Suisse. Alle übrigen bisherigen Mitglieder des Verwaltungsrates von Nationale Suisse werden, vorbehältlich des Vollzugs des Angebots von Helvetia, mit Wirkung auf den Vollzug des Angebots aus dem Verwaltungsrat zurücktreten.
Aufgrund ihres Rücktrittes aus dem Verwaltungsrat scheiden drei Mitglieder des Nomination & Compensation Committees (Vergütungsausschuss) aus diesem Gremium aus. Dr. Andreas von Planta bleibt Mitglied des Nomination and Compensation Committees. Zugewählt haben die Aktionäre Erich Walser, Stefan Loacker, Dr. Philipp Gmür und Dr. Balz Hösly. Alle Wahlen erfolgten einzeln und für eine Amtszeit bis zum Abschluss der nächsten ordentlichen Generalversammlung.
Mit den heute getroffenen Entscheiden erfüllen die Aktionäre eine wichtige Bedingung für einen erfolgreichen Zusammenschluss von Nationale Suisse und Helvetia. Geplant ist, dass – vorbehältlich der Erfüllung der weiteren Bedingungen aus dem Angebotsprospekt – das Angebot der Helvetia am 20. Oktober 2014 vollzogen wird.

Les actionnaires de Nationale Suisse créent les conditions de l'alliance avec Helvetia

Lors de l'Assemblée générale extraordinaire de la Compagnie d'Assurances Nationale Suisse SA, les actionnaires ont approuvé toutes les propositions du Conseil d'administration et ont procédé à des modifications des statuts, à l'élection de nouveaux membres au Conseil d'administration et à des élections au Nomination and Compensation Committee. L'Assemblée générale extraordinaire a été convoquée en raison de l'offre d'achat d'Helvetia. Les décisions relatives aux modifications des statuts et aux élections ont donc été prises sous la condition suspensive que l'offre d'Helvetia aboutisse.
L'Assemblée générale extraordinaire de la Compagnie d'Assurances Nationale Suisse SA, qui s'est tenue ce jour à Bâle, réunissait 103 actionnaires représentant 1 283 940 actions nominatives. Compte tenu des mandats de représentation, 6 575 221 voix étaient représentées au total, soit 71.45% des actions avec droit de vote et 29.82% du total du capital-actions. L'Assemblée générale extraordinaire a été convoquée en raison de l'offre d'achat présentée par Helvetia. C'est pourquoi les modifications des statuts et les élections ne prendront effet que si l'offre aboutit.
Suppression des restrictions à l’inscription et de la limitation de représentation au vote
Les actionnaires ont approuvé les modifications des statuts proposées par le Conseil d'administration concernant la suppression des restrictions relatives à l'inscription et de la limitation de représentation au vote. Jusqu'ici, les actionnaires avaient un droit de vote limité à 5% de la totalité du capital-actions inscrit au registre du commerce et aucun actionnaire ne pouvait disposer à lui seul de plus d’un cinquième des voix représentées à l'Assemblée générale.
Nouvelles élections au Conseil d'administration et au Nomination and Compensation Committee
Les actionnaires ont élu Erich Walser, Stefan Loacker et Philipp Gmür au Conseil d'administration de Nationale Suisse en tant que nouveaux membres. Andreas von Planta et Balz Hösly restent membres du Conseil d'administration de Nationale Suisse. Sous réserve de l'aboutissement de l'offre d'Helvetia, tous les autres membres du Conseil d'administration de Nationale Suisse se retirent du Conseil d'administration à la date d'exécution de l'offre.
Du fait de leur retrait du Conseil d'administration, trois membres du Nomination & Compensation Committee (Comité de rémunération) quittent cette instance. Andreas von Planta reste membre du Nomination and Compensation Committee. Les actionnaires ont encore élu Erich Walser, Stefan Loacker, Philipp Gmür et Balz Hösly à ce comité. Toutes les élections ont eu lieu individuellement pour un mandat allant jusqu'à la clôture de la prochaine Assemblée générale ordinaire.
Avec les décisions prises ce jour, les actionnaires remplissent une condition importante pour une alliance réussie de Nationale Suisse et d'Helvetia. Sous réserve de la réalisation des autres conditions figurant dans le prospectus de l'offre, il est prévu que l'offre d'Helvetia ait complètement abouti le 20 octobre 2014.

Nationale Suisse shareholders lay foundations for merger with Helvetia

At the Extraordinary General Meeting of Swiss National Insurance Company Ltd, the shareholders passed all motions proposed by the Board of Directors, thereby approving amendments to the Articles of Association and electing new members to the Board of Directors and the Nomination and Compensation Committee. The Extraordinary General Meeting was held in connection with the takeover offer received from Helvetia. The amendments to the Articles of Association and the elections were therefore conditional on the takeover being completed.
Today’s Extraordinary General Meeting of Swiss National Insurance Company Ltd in Basel was attended by 103 shareholders, representing 1 283 940 registered shares. Including shares represented by proxy, a total of 6 575 221 votes were represented, which corresponds to 71.45% of voting shares and 29.82% of total share capital. The Extraordinary General Meeting had been called following the receipt of a takeover offer from Helvetia. This means that all decisions made by the shareholders will only enter into force if and when the takeover has been completed.
Restrictions on registration and proxy voting lifted
The shareholders approved the amendments to the Articles of Association proposed by the Board of Directors with regard to lifting restrictions on registration and proxy voting. Previously, shareholders were entitled to vote for up to 5% of the total share capital recorded in the Commercial Register and an individual shareholder was not allowed to accumulate more than one fifth of the votes represented at the General Meeting.
Elections to the Board of Directors and the Nomination and Compensation Committee
The shareholders elected Erich Walser, Stefan Loacker and Dr Philipp Gmür to the Board of Directors of Nationale Suisse, with existing members Dr Andreas von Planta and Dr Balz Hösly remaining on the Board. Subject to the completion of the takeover by Helvetia, all remaining members of the Board of Directors of Nationale Suisse will step down from the Board at this point.
Three members of the Nomination and Compensation Committee are stepping down due to their resignation from the Board of Directors. Dr Andreas von Planta remains on the Nomination and Compensation Committee, where he will be joined by Erich Walser, Stefan Loacker, Dr Philipp Gmür and Dr Balz Hösly, who were elected to the committee by the shareholders. All members were elected individually and for a term which runs to the end of the next Annual General Meeting.
The decisions taken by the shareholders today lay important groundwork for ensuring a successful merger between Nationale Suisse and Helvetia. The plan is for the takeover to be completed on 20 October 2014, subject to the remaining conditions as stated in the offer prospectus being fulfilled.
