Verstärkung im Bereich sterile Abfüllung
Die Siegfried Gruppe erwirbt per Ende November 2014 das deutsche Unternehmen Hameln Pharma, bestehend aus der Hameln Pharmaceuticals GmbH und der Hameln RDS GmbH, welches in der Entwicklung und Fertigung von sterilen flüssigen Darreichungsformen für die pharmazeutische Industrie tätig ist. Dieses Standbein der Siegfried Gruppe wird damit markant gestärkt. Die erworbenen Firmen sind in Hameln in der Nähe von Hannover beheimatet und beschäftigen rund 500 Mitarbeitende. Siegfried wird sämtliche Mitarbeitenden übernehmen.
Hameln Pharma war bis zur Übernahme Teil der privat gehaltenen Hameln Group. Für 2014 wird für Hameln Pharma ein Umsatz von rund 85 Millionen Franken erwartet. Der Kaufpreis für diese Akquisition beträgt rund 60 Millionen Franken.
Die Hameln Group wird sich zukünftig mit ihren verbleibenden Tochtergesellschaften auf ihr weltweites Eigenmarkengeschäft mit injektablen pharmazeutischen Fertigprodukten konzentrieren. Auch der Forschungs- und Entwicklungsstandort in der Slowakei verbleibt bei der Hameln Group.
Hameln Pharma stellt für Siegfried eine attraktive Ergänzung dar
Die Hameln Pharma wurde 1950 gegründet und geht auf die seit 1890 im Familienbesitz befindliche Raths-Apotheke in Hameln zurück. Seit 1970 ist das Unternehmen schwergewichtig in der Herstellung parenteraler Produkte tätig. Es stellt für internationale Pharmaunternehmen sterile flüssige Arzneimittel her, abgefüllt in Ampullen oder sogenannten Vials. Der Schwerpunkt der Tätigkeit liegt dabei auf der Produktion anspruchsvoller Präparate, wie zum Beispiel Betäubungsmittel. In Ergänzung zum Kerngeschäft der Auftragsherstellung bietet Hameln Pharma ein Portfolio begleitender Dienstleistungen wie Produkt- und Methodenentwicklung, Dossiererstellung und Zulassungsdienstleitungen an.

Ausbau der Aktivitäten geplant
Hameln Pharma verfügt über modernste Anlagen. So wurde 2008 eine innovative Sterilfabrik gebaut und in Betrieb genommen, die 2009 mit dem international renommierten „Facility of the Year Award“ in der Kategorie Operational Excellence ausgezeichnet wurde. Mit dieser Sterilfabrik verfügt das nun kombinierte Unternehmen über eine innovative, effiziente und flexible Produktion, die auf dem aktuellen Stand der Technik sterile Arzneimittel für die gesamte Welt produziert. Siegfried wird in Zukunft an beiden Standorten - Irvine und Hameln - weiter in diese Technologien investieren und dabei in den nächsten Jahren in Hameln vor allem auch die Herstellung von Vials vorantreiben.
Weiteres bedeutendes Strategieprojekt
Damit hat Siegfried seine Strategie Transform bei den Themen Vorwärts- als auch Rückwärtsintegration umgesetzt. Im Jahr 2012 hat Siegfried bereits die Firma Alliance Medical Products, Inc. im kalifornischen Irvine gekauft, welche in einem vergleichbaren Geschäftsfeld wie die Hameln Pharma tätig ist. Im Oktober 2014 wurde im chinesischen Nantong die Betriebsbewilligung für die neu gebaute chemische Produktionsanlage für pharmazeutische Wirkstoffe erteilt. Dieser neue Siegfried-Standort verfügt über 300 Kubikmeter chemisch-pharmazeutische Kapazität. Gleichzeitig baut Siegfried zurzeit am Hauptsitz in Zofingen eine chemische Produktionsanlage mit 100 Kubikmetern Kapazität, welche ab Mitte 2015 ältere, ineffiziente Anlagenteile ersetzen wird.

Siegfried acquires Hameln Pharma
Strenghening the field of sterile filling
Siegfried Group will acquire the Hameln Pharma in Germany, consisting of Hameln Pharmaceuticals GmbH and Hameln RDS GmbH, with effect from end November 2014. Hameln Pharma is active in the development and production of sterile liquid pharmaceutical products for international pharma companies; the Siegfried Group will therefore considerably strengthen its sterile filling segment. The acquired companies are located in the city of Hameln in the vicinity of Hanover in Germany and employ a workforce of approximately 500. Under terms of the acquisition agreement, Siegfried will take over the entire staff.
To date Hameln Pharma was a part of the privately held Hameln Group. For 2014, Hameln Pharma expects sales of approx. CHF 85 million. The purchase price amounts to CHF 60 million.
The Hameln Group with its remaining subsidiaries will in future focus on their worldwide business activities with their own brand of injectable pharmaceutical finished products. The research and development site in Slovakia will also remain in the possession of the Group.
Hameln Pharma is an attractive complement for Siegfried
Hameln Pharma was founded in 1950 and goes back to the “Raths-Apotheke” in Hameln, family-owned since 1890. The company began focusing on the production of parenteral products in 1970. It produces sterile liquid drugs filled in ampoules or vials for international pharmaceutical companies. The focus of its activities is on the production of demanding compounds, such as anesthetics. To supplement its core business of contract manufacturing, Hameln Pharma offers a portfolio of accompanying services ranging from product and method development to dossier compilation and registration services.

Planned expansion of activities
Hameln Pharma’s production plant is very modern. In 2008, Hameln Pharma´s new sterile facility was put into operation, which in 2009 has been awarded the internationally renowned “Facility of the Year Award” in the category Operational Excellence. Thanks to the sterile facility, the combined company now has at its disposal an innovative, efficient and flexible production plant capable of producing sterile drugs under state-of-the-art conditions for the entire world. In the future, Siegfried will continue to invest in these technologies at both of its sites - Irvine and Hameln – and in the coming years move forward especially the production of vials in Hameln.
Another significant strategy project
With this acquisition, Siegfried has implemented its Transform strategy regarding both forward and backward integration. In 2012, Siegfried acquired Alliance Medical Products, Inc. in Irvine, California, active in a comparable market segment as Hameln Pharma. In October 2014, operating approval was granted for the new chemical production plant for active pharmaceutical ingredients in Nantong, China. This Siegfried site has a chemical-pharmaceutical capacity of over 300 cubic meters. At its headquarters in Zofingen, Switzerland, Siegfried is currently building a chemical production plant with a capacity of 100 cubic meters which from mid-2015 will replace older and less efficient facilities.
